<br />c. <br /> <br />The City Council shall hear any Person(s) interested in the revocation and within <br />ninety (90) days after the date of the hearing shall make its determination whether <br />the Grantee has committed a material breach of the Franchise. <br /> <br />d. <br /> <br />If the City determines that the Grantee has committed a material breach, then the <br />City may: <br /> <br />1. <br /> <br />Declare the Franchise revoked and any security fund and bonds forfeited; <br />or <br /> <br />11. <br /> <br />If the material breach is curable by the Grantee, direct the Grantee to take <br />appropriate remedial action within the time and manner and under the <br />terms and conditions reasonably specified by the City. <br /> <br />The termination and forfeiture of the Grantee's Franchise shall in no way affect <br />any right of City to pursue any remedy under the Franchise or any provision of <br />law. <br /> <br />2. <br /> <br />Appeal of Finding of Revocation. The Grantee may appeal a finding of a revocation <br />made pursuant to Section 9.1 to an appropriate State of California court of jurisdiction. <br />Any such appeal must be taken by the Grantee in accordance with Applicable Law, <br />specifically CCP 1094.6. <br /> <br />3. <br /> <br />Extended Operation and Continuity of Services. Upon expiration or revocation of the <br />Franchise, the City shall have the discretion to permit Grantee to continue to operate the <br />Cable System for an extended period of time. Grantee shall continue to operate the <br />System under the terms and conditions of this Franchise and to provide the regular <br />Subscriber Service and any and all of the Services that may be provided at that time. It <br />shall be the right of all Subscribers to continue to receive all available Services provided <br />that financial and other obligations to Grantee are honored. The Grantee shall use <br />reasonable efforts to provide continuous, uninterrupted Service to its Subscribers, <br />including operation of the System during transition periods following Franchise <br />expiration or termination. <br /> <br />4. <br /> <br />Receivership and Foreclosure. <br /> <br />a. <br /> <br />At the option of the City and subject to Applicable Laws, a Franchise granted <br />hereunder may be revoked one hundred twenty (120) days after appointment of a <br />receiver(s) or trustee(s) to take over and conduct the business of Grantee, whether <br />in a receivership, reorganization, bankruptcy or other action or proceeding, <br />unless: <br /> <br />1. <br /> <br />the receivership or trusteeship shall have been vacated within said one <br />hundred twenty (120) days; or <br /> <br />36 <br /> <br />""---..
