<br />"Cable Service" means the one-way transmission to Subscribers of video programming <br />or other programming services, and Subscriber interaction, if any, which is required for <br />the selection or use of such video programming or other programming services. <br /> <br />"Cable System" means Grantee's facility, consisting of a set of closed transmissions <br />paths and associated signal generation, reception, and control equipment, that is designed <br />to provide Cable Service which includes video programming and which is provided to <br />multiple Subscribers within a community, but such term does not include (A) a facility <br />that serves only to retransmit the television signals of one or more television broadcast <br />stations; (B) a facility that serves Subscribers without using any Public Rights-of-Way; <br />(C) a facility of a common carrier which is subject, in whole or in part, to the provisions <br />of Title II of the federal Communications Act (47 US.C. 201 et seq.), except that such <br />facility shall be considered a Cable System (other than for purposes of Section 621(c) (47 <br />U.S.C. § 541(c)) to the extent such facility is used in the transmission of video <br />programming directly to Subscribers, unless the extent of such use is solely to provide <br />interactive on-demand services; (D) an open video system that complies with federal <br />statutes; or (E) any facilities of any electric utility used solely for operating its electric <br />utility systems. <br /> <br />"City Hub" means an intermediary exchange point in the signal distribution portion of the <br />Fiber Network. <br /> <br />"Construction Credits" means the credits available to the City for Fiber Network <br />construction cost as set forth in Exhibit B of the Franchise. <br /> <br />"Construction Costs" means all of Grantee's labor, materials and construction costs for <br />installing the Fiber Network between the Redwood City City Hall and the sites identified <br />in Exhibit B. <br /> <br />"Dedicated Fiber" means fiber originally requested and paid for, in accordance with the <br />terms of this Agreement, by the City for Fiber Network use and which shall, during the <br />term specified in Section 4.1 of this Agreement, according to actual use, be available to <br />the City for approved Fiber Network uses. <br /> <br />"Demarcation Point" means the termination block or other termination device at each <br />Fiber Network site, which represents the interface between the Fiber Network and the <br />Qualified Fiber Network User's local network. In all cases, the Demarcation Point will <br />be clearly marked as such by Grantee, and will provide an identifiable interface for <br />connection. <br /> <br />"Educational Access" means Access where educational institutions or their designees are <br />the primary users having editorial control over programming and services. <br /> <br />"Fiber Network" means the facilities or capacity designed for connecting public buildings <br />within the Franchise Area as is described in greater detail in this Agreement.
