REV: 09-30-22 RL AMENDMENT NO. 2 TO AGREEMENT FOR PROFESSIONAL SERVICES (Folger Graphics) This Amendment No. 2 (“Amendment No. 2”) is entered into and effective as of September 19, 2022, by and between the City of Redwood City, a charter city and municipal corporation of the State of California (“City”), and Kirk Folger, a dba Folger Graphics(“Consultant”) (collectively, the “Parties”). RECITALS A. The Parties previously executed that certain Professional Services Agreement for the printing of recreation/activity guides, dated as of August 28, 2018, (the “Original Agreement”). B. The Parties previously executed Amendment No. 1 to the Original Agreement (“Amendment No. 1”), dated as of August 27th, 2019 (the Original Agreement and Amendment No. 1 are collectively known as the “Agreement”). C. While the Agreement expired on August 27, 2020, the Parties now wish to renew implementation of the Agreement as amended by this Amendment No. 2 and authorize any payment to the Contractor for Services rendered for the period between August 27, 2020 and the effective date of this Amendment No. 2. D. The Parties have negotiated and agreed to the terms and conditions set forth in this Amendment No. 2, including any terms and conditions of the attached Exhibit A, incorporated herein by reference. NOW, THEREFORE, in consideration of these recitals and the mutual covenants contained herein, the Parties agree as follows: 1. City will pay Consultant a not-to-exceed amount of Seventy Five Thousand Dollars ($75,000) for the completion of all the services described in Exhibit “A” to this Amendment No. 2, which sum will include all costs or expenses incurred by Consultant. Including all amendments through Amendment No. 2, the total amount payable under the Agreement will be a not-to-exceed amount of Two Hundred and Twenty-Five Thousand Dollars ($225,000). 2. Unless terminated earlier, the term of this Amendment No. 2 will be a period of one year from the effective date of this Amendment No. 2. Including all amendments, through Amendment No. 2, the total term of this Agreement is approximately sixty months from the Effective Date of this Agreement. 3. All other provisions of the Agreement will remain in full force and effect. 4. All requisite insurance policies to be maintained by Consultant pursuant to ATTY/AGR.2022/Amend. No.2/Folger Graphics (Professional Services) (Page 1 of 5)
