attorneys' fees and witness costs) arising from or in connection with, or caused by <br />any act or omission of such indemnifying party or its agents, employees, <br />contractors, subcontractors, or invitees. This indemnification obligation shall not <br />be limited in any way by any limitation on the amount or type of damages or <br />compensation payable to or for the indemnifying party under workers' <br />compensation acts, disability benefit acts, or other employee benefit acts. <br />For the purpose of this Section, indemnification of NC HIDTA and its employees <br />includes any and all HIDTA personnel, regardless of whether they may be <br />employed by or assigned to HIDTA from another public agency. <br />B. To the extent, the canine that is the subject of this Agreement is not in any way a <br />participant in a Metro Task Force I/NCHIDTA or related action, operation, or activity, <br />and is operating solely under the command of a CITY employee solely for a CITY <br />purpose, CITY shall hold NCHIDTA harmless, as follows: <br />City shall with respect to all services performed in connection with this <br />Agreement, defend, indemnify, and hold NCHIDTA, its officers, employees, <br />agents, and volunteers, harmless from and against any and all claims that arise out <br />of, pertain to, or relate to the actions of the canine that is the subject of this <br />Agreement. Such obligations to defend, hold harmless and indemnify NCHIDTA <br />shall not apply to the extent that such liability is caused by the sole negligence or <br />willful misconduct of the NCHIDTA. <br />6. Severability. <br />If any term or portion of this Agreement is held to be invalid, illegal, or otherwise unenforceable <br />by a court of competent jurisdiction, the remaining provisions of this Agreement shall continue <br />in full force and effect. <br />7. Agreement Administration and Notice. <br />This Agreement shall be administered on behalf of the City by Lieutenant John Gunderson. Miscellaneous. <br />The laws of the State of California shall govern this Agreement and all matters relating to it and <br />venue for state court shall be in Redwood City and for federal court in San Francisco.
