<br />Contractor shall insure, defend, indemnify and hold City, its Council, Boards, <br />Commissions, agents, employees, officers, or volunteers harmless from any <br />and all liability or loss whatsoever (including but not limited to personal injury, <br />bodily injury, property damage, costs, and attorney's fees) arising from any <br />damage, injury, claim, cause of action, complaint, or demand by any person <br />arising at any time from the use of the Parking Facilities but only to the extent <br />that same are caused or alleged to have been caused by the negligence, <br />misconduct or other fault of Contractor, its agents or employees. Accordingly, <br />Contractor shall provide and pay for commercial general liability insurance and <br />Garage Keeper's Legal Liability Insurance and statutory coverage for workers' <br />compensation insurance as set forth in Section 24. Contractor shall have the <br />right to be self-insured for such coverage and limits as are permitted or <br />approved by the State of California for Contractor from time to time. The <br />indemnities provided herein shall survíve the expiration or termination of this <br />Agreement. Contractor shall provide to City a Certificate of Insurance, which <br />shall name City as an additional insured but only to the extent that same are <br />indemnified pursuant to Section 21 hereof. <br /> <br />B. During the term of this Agreement, City shall insure, defend, indemnify and <br />hold Contractor, its agents, employees, officers, or volunteers harmless from <br />any and all liability or loss whatsoever (including but not limited to personal <br />injury, bodily injury, property damage, costs, and attorney's fees) arising from <br />the provision of, or failure to provide, security or security services at the <br />Parking Facilities or the acts, misconduct, errors, omissions, or negligence of <br />City, its agents, or employees in the scope and course of their employment <br />pertaining to the Parking Facilities, design or structural condition of the Parking <br />Facilities, or use or tenancy of the Parking Facilities prior to commencement of <br />this Agreement. <br /> <br />SECTION 22. INSURANCE <br /> <br />A. Policies <br /> <br />Contractor shall obtain and maintain for the full term of this Agreement at <br />least all of the following minimum insurance requirements prior to <br />commencing any work or receiving payments therefore under this Agreement <br /> <br />1. Comprehensive Crime Policy <br /> <br />a. A comprehensive crime policy, with a minimum limit of not less <br />than $250,000, providing at least the following minimum coverage: <br /> <br />I. <br /> <br />Employee Dishonesty Coverage - Form A <br /> <br />ii. <br /> <br />Depositor's Forgery Coverage <br /> <br />26 <br />
