ORIGINAL. <br />SECOND AMENDMENT TO ORDER FOR INTERNET SERVICES <br />This Second Amendment to Order for Internet Services (this "Second Amendment") is <br />entered into as of the date of last signature below (the "Effective Date"), by and between <br />ASTOUND BROADBAND, LLC, a Washington limited liability company ("Provider"), and the CITY <br />OF REDWOOD CITY, a California municipal corporation ("Customer') (collectively, the "parties"). <br />BACKGROUND <br />A. Provider and Customer are the parties to that certain Master Services Agreement <br />dated September 4, 2013 (the "MSA"), pursuant to which Customer may elect to order from <br />Provider certain telecommunications services, including, high speed Internet access, data <br />transport, telephone, dark fiber, and other related services. <br />B. As contemplated by the MSA, Provider and Customer entered into that certain <br />Order for Internet Services dated October 29, 2013, as subsequently amended by that certain <br />First Amendment to Order for Internet Services dated December 9, 2015 (as amended, the <br />"Original Order"). The Initial Service Term of the Original Order was sixty (60) months, with service <br />continuing on a month-to-month basis after expiration of the Term. <br />C. Pursuant to the Original Order, Customer receives from Provider a 300 Mbps <br />dedicated Internet access circuit (the "Internet Service") together with 100 IP addresses (the "IP <br />Addresses") at Customer's service site located at 1017 Middlefield Road, Redwood City, <br />California 94063 (the "Service Site") in exchange for a monthly recurring charge ("MRC") of One <br />Thousand Four Hundred and No/100 Dollars ($1,400.00). <br />D. Customer now desires to upgrade the bandwidth of the Internet Service for an <br />increased MRC, and receive a four port network interface device from Provider, all as more fully <br />described below. <br />E. Capitalized terms used but not defined in this Second Amendment shall have the <br />meanings given to them in the MSA or the Original Order, as applicable. <br />AGREEMENT <br />Section 1: Upgrade of Bandwidth. Within thirty (30) days of the Effective Date of this <br />Second Amendment, Provider shall upgrade the bandwidth of the Internet Service to a 1 Gbps / <br />1 Gbps circuit, provisioned with a 10 Gbps port. Once the upgrade has been completed, the MRC <br />for the upgraded Internet Service shall increase to One Thousand Five Hundred and No/100 <br />Dollars ($1,500.00) per month with a total not -to -exceed amount of Ninety Thousand Dollars <br />($90,000) for the new Term Extension. There shall be no one-time, non-recurring installation <br />charge associated with this upgrade. <br />Section 2: Equipment Upgrade. When upgrading the Internet Services pursuant to <br />Section 1 above, Provider shall install as Customer Premises Equipment ("CPE") a network <br />interface device (aka switch) having four (4) 1 Gbps ports for use with the Internet Service. <br />Section 3: Restatement of Services.
