<br />WHEREAS, Redwood City has not included any improvements forthe Streets or <br />the Properties in its capital improvement plans, or budget; and <br /> <br />WHEREAS, significant cost savings and efficiencies would result if <br />improvements to the Streets and Properties could be constructed as a single project; <br />and <br /> <br />WHEREAS, San Carlos is prepared to construct improvements to the Streets <br />and Properties at no cost to Redwood City provided that Redwood City agrees to the <br />subsequent detachment and annexation of the Properties and the portions of the <br />Streets. <br /> <br />IN CONSIDERATION OF THE FOREGOING RECITALS, THE PARTIES <br />HEREBY AGREE AS FOLLOWS: <br /> <br />I. <br /> <br />Roadway and Property Improvements <br /> <br />San Carlos shall manage, oversee, fund at no cost to Redwood City and assure <br />completion of the improvements listed below (collectively referred to as the <br />"Improvements"). Further, all costs associated with the survey of the Streets and <br />Properties, all engineering and other costs shall be borne by San Carlos. The <br />Improvements are scheduled to commence during 2003 and be completed in an <br />expeditious manner. Redwood 'City agrees that San Carlos may proceed with <br />constructing the Improvements prior to completion of the detachement and annexation <br />contemplated in Section V hereof. San Carlos warrants that it will use its best efforts to <br />adhere to the schedule attached hereto as Exhibit Cjthe "Schedule") and construct the <br />Improvements as described in Exhibit D to their completion. The Improvements <br />generally are described as follows: <br /> <br />A. Reconstruction of Airport Way in a four-lane configuration from Redwood Shores <br />Parkway to Sky Way. <br /> <br />B. Reconstruction and improvements to the drainage facilities at the intersection of <br />Redwood Shores Parkway and Airport Way to increase the capacity of those facilities. <br /> <br />C. Construction of a free right-turn lane eastbound on Redwood Shores Parkway to <br />southbound on Airport Way. <br /> <br />D. Minor site grading and installation of landscaping on the Properties substantially <br />as depicted on Exhibit D. <br /> <br />E. Installation of "Skyport Center" Monument Sign and "Skyport Center" Directional <br />Sign as approved by the Redwood City Architectural Review Committee on May 27, <br />2003 substantially as depicted on Exhibit D. <br /> <br />Atty/Agr/Agr.139 <br />100303 <br /> <br />2 <br />
