<br />II. <br /> <br />Maintenance <br /> <br />San Carlos shall maintain the newly constructed Improvements including quality <br />maintenance of the landscaping and signage on the Properties. <br /> <br />III. <br /> <br />Retention of Open Space <br /> <br />San Carlos shall retain the Properties in an open, landscaped condition. <br /> <br />IV. <br /> <br />Detachment and Annexation of Territory <br /> <br />Redwood City consents to the detachment and annexation of the Properties, the <br />Sky Way right-of-way, and Airport Way right-of-way as described in Exhibits E and F <br />(the "Annexation Property"). <br /> <br />V. <br /> <br />Annexation of Territory <br /> <br />Redwood City will cooperate with San Carlos to permit the San Carlos <br />detachment and annexation of the Annexation Property, to execute any applications to <br />the San Mateo Local Agency Formation Commission or other agencies of jurisdiction, to <br />provide any necessary documentation or perform any other acts to diligently and <br />expeditiously detach and annex the Annexation Property to San Carlos. Provided <br />however, that San Carlos shall pay all application fees associated with the detachment <br />and annexation process. <br /> <br />VI. <br /> <br />Redwood City to Deed Parcel Two to San Carlos <br /> <br />Redwood City shall quitclaim Parcel Two as described in Exhibits A and B to San <br />Carlos. Escrow shall close within 30 days after completion of the Improvements. Upon <br />the transfer of the Properties contemplated by the Agreement, Redwood City shall <br />record covenants and deed restrictions against the Property described in Exhibits A and <br />B. The restrictions to be recorded against the above referred to Property shall include, <br />but not be limited to; the list attached hereto, marked Exhibit G and incorporated by this <br />reference. <br /> <br />VII. <br /> <br />Indemnification <br /> <br />San Carlos shall indemnify, hold harmless and defend Redwood City, its council <br />members, employees and agents from any and all claims, liabilities and lawsuits arising <br />from or connected with the construction of the Improvements, their maintenance and/or <br />control thereof either before or after detachment and annexation. <br /> <br />VIII. <br /> <br />Non-Assignment <br /> <br />This Agreement is not assignable either in whole or in part. <br /> <br />Atty/Agr/Agr.139 <br />100303 <br /> <br />3 <br />
