6.D. - Page 45 of 170 <br />Request for Qualifications: <br />General Park Building Construction, Retrofit, Maintenance, and/or Repairs <br />ARTICLE 24 <br />SEVERABILITY <br />Should any portion of this Contract be determined to be void or unenforceable, such shall be severed from the whole and <br />the Contract will continue as modified. <br />ARTICLE 25 <br />GOVERNING LAW <br />Each party's performance hereunder shall comply with all applicable laws of the United States of America, the State of <br />California, and the City of Los Angeles. This Contract shall be governed by, enforced and interpreted under the law of the <br />State of California and the City of Los Angeles. <br />ARTICLE 26 <br />LOS ANGELES CITY BUSINESS TAX REGISTRATION (BTRC) <br />The bidder represents that it has, or will obtain upon award, the Business Tax Registration Certificate(s) (BTRC) required <br />by the Los Angeles City's Business Tax Ordinance (Article 1, Chapter 2, Section 21.00 and following, of the Los Angeles <br />Municipal Code). The Contractor shall maintain, or obtain as necessary, all such certificate required of it under the Business <br />Tax Ordinance and shall not allow any such certificate be revoked or suspended. <br />Additional information can be obtained at the Office of Finance or on http://www.lacity.orv-/finance/. <br />finance/. <br />ARTICLE 27 <br />INSURANCE REQUIREMENTS <br />Evidence of sufficient liability insurance as specified on the 146IR Insurance Requirements Form must be provided and <br />approved prior to contract execution. The selected Contractor must instruct their insurance broker or agent to submit the <br />appropriate proof of insurance to the City by accessing Track4LAT111 at http://track4la.lacily.orjz. Additional instructions <br />and information on complying with City insurance requirements can be found <br />at http://cao.lacii�org/risk/Submitting�proof of Insurance.pdf., The Contract Administrator requests that all insurance be <br />submitted and approved no later than five (5) days after the award of each as -needed project. <br />27.1 Indemnification <br />Except for the active negligence or willful misconduct of CITY, Contractor undertakes and agrees to defend, indemnify and <br />hold harmless CITY and any and all of its Boards, Officers, Agents, Employees, Assigns, and Successors in Interest from <br />and against all suits and causes of action, claims, losses, demands, and expenses, including, but not limited to, attorney's <br />fees and cost of litigation, damage or liability of any nature whatsoever, for death or injury to any person, including <br />Contractor's employees and agents, or damage or destruction of any property of either party hereto or of third parties, arising <br />in any manner by reason of the negligent acts, errors, omissions or willful misconduct incident to the performance of this <br />Contract on the part of Contractor or Subcontractor of any tier. <br />27.2 Insurance <br />27.2.1 General Conditions <br />During the Term and without limiting Contractor's duty of indemnification herein, Contractor shall provide <br />and maintain at its own expense a program of insurance having coverage and limits customarily carried and <br />actually arranged by Contractor but not less than the amounts and types listed on the Required Insurance <br />And Minimum Limits Sheet attached hereto on Page 96 (Form Gen. 146IR Form A), covering its operations <br />hereunder.
