6.D. - Page 44 of 170 <br />Request for Qualifications: <br />General Park Building Construction, Retrofit, Maintenance, and/or Repairs <br />ARTICLE 18 <br />CHANGES OR MODIFICATIONS <br />Changes or modifications in the terms of this Contract may be made at any time by mutual written consent between the <br />parties hereto. <br />ARTICLE 19 <br />INDEPENDENT CONTRACTORS <br />The CONTRACTOR is acting hereunder as an independent contractor and not as an agent or employee of the CITY. <br />CONTRACTOR shall not represent or otherwise hold out itself or any of its directors, officers, partners, employees or <br />agents to be an agent or employee of the CITY. CITY shall not represent or otherwise hold itself out or any of its directors, <br />officers, partners, employees or agents to be an agent or employee of the CONTRACTOR. <br />ARTICLE 20 <br />OWNERSHIP OF DATA <br />All documents, including reports, or other written work prepared hereunder shall become the property of the CITY. The <br />CONTRACTOR shall be permitted to maintain copies of all such data for its own files. The Bidder's instructions define <br />submittal requirements. The City does not currently anticipate a need for "ad hoc" reports, but in the event they are required, <br />Contractor should be prepared to include the cost of these reports in their bid price. All costs are to be included in the bid <br />price. <br />ARTICLE 21 <br />NON-DISCRIMINATION AND AFFIRMATIVE ACTION <br />The CONTRACTOR agrees and obligates itself not to discriminate during the performance of the Contract against any <br />employee or applicant because of race, religion, national origin, ancestry, sex, sexual orientation, age, disability, marital <br />status, domestic partners or medical condition. All subcontracts awarded under this Contract shall contain a like <br />nondiscrimination clause. Requirements are defined on Page 57 and are included herein by reference. <br />ARTICLE 22 <br />SUCCESSORS AND ASSIGNS <br />All of the terms, conditions, and provisions hereof shall inure to the benefit of and be binding upon the parties hereto and <br />their respective successors and assigns. However no assignment of the contract shall be made without written consent of <br />the parties to this Contract which consent shall not be unreasonably withheld. <br />ARTICLE 23 <br />FORCE MAJEURE <br />Notwithstanding any other provisions hereof, neither CONTRACTOR nor the CITY shall be held responsible or liable for <br />failure to meet their respective obligations under this Contract, if such failure shall be due to causes beyond the <br />CONTRACTOR's or CITY's control. Such causes include but are not limited to: strikes, fire, flood, civil disorder, acts of <br />God or of the public enemy, acts of federal government or any unit of state or local government in either sovereign or <br />contractual capacity, epidemics, quarantine restrictions, or delays in transportation to the extent that they are not caused by <br />the party's willful or negligent acts or omissions, and to the extent that they are beyond the party's reasonable control. <br />IMPORTANT — RESPONDERS MUST SUBMIT ALL REQUIRED FORMS (COMPLETELY FILLED OUT) BY RFQ <br />SUBMITTAL DEADLINE. <br />Page 38 of 103 <br />127 <br />
