<br /> 6.10 <br /> Page 3 <br /> AMENDMENT NO.1 <br />AGREEMENT FOR WATER AND WATEWATER UTILITIES SYSTEMS <br /> TECHNICAL SUPPORT SERVICES FOR THE SCADA SYSTEM <br /> (The EDCCO Group) <br />This Amendment NO.1 is entered into and effective as of the _ day of <br /> , 2006, amending the agreement dated July 25, 2005 (the <br />"Agreement") by and between the City of Redwood City, a charter city and municipal <br />corporation ("City"), and THE EDCCO GROUP, a California General Partnership <br />("Consultant") (collectively, the "Parties") for technical support and system maintenance <br />for the City's Supervisory Control and Data Acquisition (SCADA) system. <br /> RECITALS <br />A. The Parties desire to alter the annual not to exceed amount of compensation <br />to the consultant for continuing into the second year of the original two-year Agreement <br />for services, which expires on July 24, 2007; and, <br />B. The Parties have negotiated and ag reed to increase the annual <br />compensation in this the second year of the original two-year Agreement to continue the <br />scope of work and fee schedule, Exhibit "A" and Exhibit "B" respectively, of the Original <br />Agreement, incorporated herein by reference. <br />NOW, THEREFORE, in consideration of these recitals and the mutual covenants <br />contained herein, the Parties agree as follows: <br />1. Paragraph 6. Compensation is amended in its entirety to read as follows: <br /> The total fee payable for the Service to be performed during the initial <br /> term of this Agreement will not exceed fifty Thousand and no/100 dollars <br /> ($50,000.00) in the first year of this Agreement and shall not exceed <br /> Eighty-five Thousand and no/100 dollars ($85,000.00) in the second year <br /> of this Agreement. No other compensation for the Services will be <br /> allowed except for items covered by subsequent amendments to this <br /> Agreement. The City reserves the right to withhold a ten percent (10%) <br /> retention until the City has accepted the work and/or Services specified in <br /> Exhibit "A". <br /> Payment will occur after receipt by City of invoices sufficiently detailed to <br /> include hours performed, hourly rates, and related activities and costs for <br /> approval by City. Incremental payments, if applicable, should be made as <br /> outlined in attached Exhibit "B". <br />2.
