Dated February~, 1996 KNOW ALL MEN BY THESE PRESEN'l'S: That, Flatirons Capital, :Inc., a corporation organized and existing under the laws of the State of Delaware (the "General Partner"), acting by and through (!L/IJ1t)JJ lJ), LAJJt:. , its duly authorized vice President, in its capacity as managing general partner of Flatirons Funding, Limited Partnership, a limited partnership organized under the laws of the state of Delaware and qualified to do business in the State of California (the "Limited partnership"), has and does hereby appoint Eleètronic Arts Redwood, Inc. ("Electronic Arts") its true and lawful Attorney- in-Fact, acting by and through Electronic Arts' duly authorized President or any Vice President of Electronic Arts with full power and authority, for and on behalf of the Limited partnership, and in the name of the General Partner, during the period hereinafter specified, (i) to execute and deliver a letter agreement, substantially in the form attached hereto, concerning the Vesting Tentative Map dated December 11, 1995 (the "Vesting Tentative Map"), (ii) to execute the Vesting Tentative Map, (iii) to apply for and obtain building and other permits and licenses, acquire equipment, construct improvements, enter into contracts therefor, and to do and perform all such other acts and things as are reasonably necessary and appropriate to construct and equip an office building complex as contemplated by Flatirons upon the real property described on Schedule A attached hereto (the "Unit"), subject in any case to the right of the grantor of this Power, or any other officer of the General Partner who has authority to grant powers of attorney, to revoke this Power, upon written notice to the Attorney designated hereunder. Provided, however, that nothing contained in this power shall authorize the Attorney designated hereunder to (i) borrow money, (ii) underwrite, warrant, endorse.or guarantee the debt, performance, obligation or other similar undertaking of any person, corporation or other entity whatsoever, (iii) commit the Limited Partnership to any financial contract or other undertaking in respect of the Unit, or (iv) to acquire or convey r-"\l111nl:r..~D- 02/27/96 BTAYLOR DBB-328564.2
