ORIGINAL AMENDMENT NO. 2 TO AGREEMENT FOR BUSINESS LICENSE SOFTWARE AND SERVICES (HdL Software, LLC) This endment No. 2 is entered into and effective as of the A day of 2019, amending the agreement dated March 6, 2019, by and betwe the City of Redwood City, a charter city and municipal corporation ("City"), and HdL Software, LLC, a California Limited Liability Company, ("HdL") (collectively, the "Parties") for business license software and services. Project Summary and Background: On March 6, 2019, the Parties entered into an Agreement for Business License Software and Services ("Original Agreement"). On May 31, 2019, the Parties executed Amendment No. 1 to the Original Agreement ("Amendment No. 1"; the Original Agreement and Amendment No. 1 are collectively referred to herein as the "Agreement"). The Agreement involves the licensing and implementation of HdL's Prime — Business License software system with Web Renewal Module in addition to other services. In addition to those software licenses and services contained in the Agreement, HdL will provide one (1) Prime User License to the existing HdL Prime System as set forth below in order to improve the functionality and value of the system. Scope of Work: • Add one (1) Prime User License • This Scope of Work does not include custom software programing to existing HdL Prime — Business License Software System and Web Modules. Costs: The cost for the above-mentioned work shall be as follows: • One (1) Prime User License — One-time charge of $1,500.00 • Increase to existing Annual Use Fee - $400.00 • All charges shall be due as specified in the Agreement. City will pay HdL for the Scope of Work described in this Amendment a total of One Thousand and Nine Hundred Dollars ($1,900), for an aggregate amount of Sixty -Three Thousand and Five Hundred Dollars ($63,500). Requirements: City has existing HdL Prime — Business License with Web Renewals, therefore no technical changes or additional requirements are expected. All other provisions of the Agreement, as may have been amended from time to time, will remain in full force and effect. All requisite insurance policies to be maintained by HdL pursuant to the Agreement, as may have been amended from time to time, will include coverage for this Amendment.
