The Amended Capacity Rights Agreement provided, among other things, <br /> <br />that sufficient Treatment Capacity Rights existed for 885,000 square feet of GBFA for <br /> <br />office use on the Property and that RSP could purchase additional Treatment <br /> <br />Capacity Rights for development at Redwood Shores at a cost of $2.50 for each <br /> <br />gallon per day of Treatment Capacity Rights. Since RSP has assigned such <br /> <br />Treatment Capacity Rights to Flatirons, its successors and assigns, and since the City <br /> <br />has agreed in the Development Agreement that the assigned Treatment Capacity <br /> <br />Rights are sufficient for 885,000 square feet of GBFA for office use and 50,000 square <br /> <br />feet of GBFA for special purpose accessory structures on the Property, Flatirons, the <br /> <br />City, and Electronic Arts wish to amend the Development Agreement to (1) provide <br /> <br />that Flatirons owns such Treatment Capacity Rights and to guarantee to furnish to <br /> <br />Flatirons, its successors and assigns such treatment capacity; and (2) provide that <br /> <br />Flatirons, its successors, and assigns have the right to purchase the additional <br /> <br /> <br />treatment capacity rights ("Additional Treatment Capacity Rights") as provided for <br /> <br />in the Development Agreement (up to 25,000 gallons per day) at a cost of $2.50 for <br /> <br />each gallon per day of Additional Treatment Capacity Rights. <br /> <br />L. <br /> <br />Flatirons, the City, and Electronic Arts also wish to amend the <br /> <br />Development Agreement to provide that a default by an owner of property <br /> <br />encumbered by the Development Agreement does not constitute a default by any <br /> <br />other owner of other property encumbered by the Development Agreement. <br /> <br />-5- <br /> <br />2DAAMND8.DOC <br />
