This boundary line agreement (this "Agreement") is entered into between the City of <br />Redwood City, a charter city and municipal corporation of the State of California ("City"), and <br />Vista Marin LLC, a California limited liability company ("Vista Marin") (City and Vista Marin <br />are sometimes each individually referred to herein as a "Party" and, collectively, as the "Parties"), <br />to fix and establish the boundary between certain property owned by the City and certain adjoining <br />property owned by Vista Marin. This Agreement is dated for reference as of February _, 2019. <br />RECITALS: <br />A. This Agreement concerns adjoining parcels of land situated in the City. The City <br />claims ownership of certain real property located in the City of Redwood City, County of San <br />Mateo, State of California and comprising of Assessor's Parcel Numbers ("APN") 052-372-240, <br />052-372-200, and 052- 372-170, (the "City Property"), as more particularly described in Exhibit <br />A, and Vista Marin claims ownership of certain real property located in the City of Redwood City, <br />County of San Mateo, State of California and comprising of APN 052-372-250 (the "Vista Marin <br />Property"), as more particularly described in Exhibit B. First Republic Bank, a California <br />Corporation, is the beneficiary under a deed of trust recorded against the Vista Marin Property. <br />B. The Parties wish to fix and establish the common boundary between the City <br />Property and the Vista Marin Property. The precise location of the common boundary is subject to <br />uncertainty due to several factors, including but not limited to: (i) historic filling of portions of the <br />City Property creating uncertainty as to that portion of the common boundary defined by the <br />location of the bank of Redwood Creek; (ii) a fence situated on the properties, the line of which <br />diverges from the varying lines of the former bank of Redwood Creek identified in certain historic <br />maps relating to the properties; and (iii) each of City's and Vista Maria's longstanding possession, <br />use and occupation of the property on such Party's respective side of the fence line. <br />C. The Parties therefore consider it expedient, necessary and desirable to permanently <br />fix, establish, and forever set to rest any and all questions relating to the location of the common <br />boundary between the City Property and the Vista Marin Property. This Agreement permanently <br />fixes and establishes the common boundary line along the metes and bounds described in the deed <br />to Vista Marin, which boundary also conforms to the common boundaries of the affected <br />Assessor's Parcels <br />D. Because a portion of the City Property was acquired by the City through a statutory <br />grant by the State of California ("State"), the obligations of the Parties to close escrow under this <br />Agreement are conditioned on the deposit into escrow of a quitclaim deed from the State Lands <br />Commission ("Commission") quitclaiming to Vista Marin all of the State's right, title and interest <br />in the Vista Marin Property on the Vista Marin Property side of the Agreed Boundary Line (as <br />defined below). <br />NOW, THEREFORE, in consideration of the foregoing recitals and the following terms <br />contained in the Agreement, the Parties mutually agree as follows: <br />AGREEMENT <br />Agreed Boundary Line. <br />ATTY/AGR/2019.028/VISTA MARIN — REDWOOD CITY BOUNDARY LINE AGREEMENT <br />REV: 02-04-19 VR <br />Page 2 of 22 <br />
