The Parties agree that boundary line between the City Property and the Vista Marin <br />Property (the "Agreed Boundary Line") shall be as described in Exhibit C and depicted for <br />illustrative purposes on Exhibit D. The Parties agree that the Agreed Boundary Line is intended as <br />a fixed and certain boundary line according to the courses and distances set forth in the descriptions <br />in Exhibit C. <br />No Effect on Other Land. <br />This Agreement shall not constitute an admission by either of the Parties as to the <br />boundaries, physical character, or the location or extent of any lands owned by the City or Vista <br />Marin other than the City Property and the Vista Marin Property. <br />3. Agreement Runs with the Land, Binds Successors to Parties. <br />The Parties agree and covenant that this Agreement shall run with the land, and shall inure <br />to the benefit of and be binding upon the heirs, executors, administrators, successors, assigns and <br />beneficiaries of the Parties. <br />4. Consent to Record Agreement. <br />By execution of this Agreement, and subject to the conditions within it, the Parties consent <br />to the recording of this Agreement and any other documents, if any, executed pursuant to this <br />Agreement. <br />5. Parties to Perform Legal Acts to Effectuate Agreement. <br />So long as authorized by applicable laws to do so, and subject to the terms and conditions <br />herein, the Parties will perforin such other acts, and execute, acknowledge and deliver all further <br />documents that may be reasonably necessary to effectuate fully the provisions of this Agreement. <br />6. Signatures to be Notarized. <br />All signatures of the Parties to this Agreement and all documents to be recorded which are <br />executed pursuant to this Agreement shall be acknowledged before a Notary Public to allow them <br />to be recorded in the Recorder's Office of San Mateo County, California (the "Recorder's Office"). <br />No Modification Except in Writing. <br />No modification, amendment, or alteration of this Agreement shall be valid unless in <br />writing and signed by both of the Parties. <br />8. Escrow. <br />City shall open escrow in the offices of Old Republic Title (the "Title Company").
