A. Deposits by City. <br />City shall deposit the following documents: <br />(1) A certified copy of a resolution of City approving this Agreement and <br />authorizing its execution on City's behalf; <br />(2) A counterpart of this Agreement, duly executed by City and duly <br />acknowledged; <br />(3) A duly executed and acknowledged quitclaim deed substantially in the form <br />of Exhibit E, quitclaiming to Vista Marin all of the City's right, title and interest in the Vista Marin <br />Property on the Vista Marin Property side of the Agreed Boundary Line; and <br />B. Deposits by Vista Marin <br />Vista Marin shall deposit the following documents: <br />(1) A counterpart of this Agreement, duly executed by Vista Marin and duly <br />acknowledged; and <br />(2) A duly executed and acknowledged quitclaim deed substantially in the form <br />of Exhibit F, quitclaiming to City all of Vista Marin's right, title and interest in the City Property <br />on the City Property side of the Agreed Boundary Line. <br />C. Other Deposits. <br />The Commission (or City on the Commission's behalf) shall deposit the following <br />document: <br />(1) A quitclaim deed in substantially the form of Exhibit G, by which the <br />Commission quitclaims to Vista Marin all of the State's right, title and interest in the Vista Marin <br />Property, excepting any State tax liens. <br />9. Conditions Precedent to Closing <br />Each Party's obligation to close escrow shall be conditioned on: <br />A. Receipt into escrow of all of the documents listed in Section 8 required to be <br />deposited by the other Party; and <br />B. Receipt into escrow of the document listed in Section 8(C). <br />10. Close of Escrow; Recording. <br />Upon satisfaction of all of the closing conditions in Section 9 (including but not limited to <br />the receipt of all the documents listed in Section 8), the Title Company, if it has not received a <br />written objection by a Party hereto to the closing of escrow, shall notify the Parties of its intention <br />to close escrow and to record this Agreement and the deeds placed in escrow and shall set a date <br />ATTY/AGR/2019.028/VISTA MARIN — REDWOOD CITY BOUNDARY LINE AGREEEMENT <br />REV: 02-04-19 VR <br />Page 4 of 22 <br />
