6. Acts and Omissions of Executive Director. The acts and omissions of the <br />Executive Director, or any other employees, agents, or volunteers acting on behalf of Redwood <br />City 2020 shall not in any way be construed as the acts and omissions of the City, but shall be <br />deemed as the acts and omissions of the Parties acting jointly. <br />7. Notices. Kiser, Executive Director <br />CITY: City of Redwood City <br />1017 Middlefield Road <br />Redwood City, CA 94063 <br />(650)780-7301 <br />Melissa Stevenson Diaz, City Manager <br />Except as otherwise stated, all notices to be provided or that may be provided under this <br />Agreement must be in writing and delivered by regular or certified mail. Each Party will notify <br />the others immediately of any changes of address that would require any notice or delivery to be <br />directed to another address. <br />8. Discrimination and Harassment Prohibited. Each of the Parties will comply with <br />all applicable local, state and federal laws and regulations prohibiting discrimination and <br />harassment. <br />9. Termination. Any Party may withdraw from this Agreement by giving the other <br />Parties sixty (60) days prior written notice. The rights and obligations of the terminating Party <br />expire sixty (60) days after notice is given; provided that any monetary obligations outstanding <br />upon the expiration date shall survive until discharged. <br />10. Jurisdiction and Venue. Any action at law or in equity brought by any of the <br />Parties for the purpose of enforcing a right or rights provided for by this Agreement will be tried <br />in a court of competent jurisdiction in the County of San Mateo, State of California, and the <br />Parties waive all provisions of law providing for a change of venue in these proceedings to any <br />other county. <br />11. Successors and Assigns. It is mutually understood and agreed that this <br />Agreement will be binding upon the Parties and their respective successors and assigns. <br />12. Paragraph Headings.
