<br />ORIGINAL <br /> <br />I' <br />. . <br /> <br /> <br /> <br />..... .,.i <br />.'-_. . <br /> <br />STATE OF CALIFORNIA <br />CITY OF REDWOOD CITY <br /> <br />AGREEMENT TO PROVIDE <br />PARKING PAY STATIONS <br /> <br />This Agreement (the" Agreement") is entered into as of this 7th day of September, 2006 (the "Effective <br />Date"), by and between Digital Payment Technologies Corp, a corporation doing business in Canada (the <br />"Company"), and the City of Redwood City, a political subdivision of the State of California (the "City"). <br /> <br />Statement of Background and Intent <br /> <br />A. The City researched companies with products that contained all the mandatory features that were <br />required by the City to provide and commission Parking Pay Stations (the "system") for the City of <br />Redwood City. <br /> <br />B. In response the Company submitted to the City information dated August 21, 2006 pertaining to the <br />Company's features. This proposal, together with all attachments, is referred to herein as the <br />"Proposal." <br /> <br />C. The City and the Company have negotiated and now desire to enter into an Agreement for the <br />Company to provide and commission Parking Pay Stations for the City, all in accordance with the <br />terms and conditions set forth herein. <br /> <br />The Company shall be ultimately responsible for all Services described in this Agreement and each of the <br />Exhibits attached hereto. <br /> <br />NOW, THEREFORE, for good and valuable consideration, the receipt and sufficiency of which are <br />hereby acknowledged, and in further consideration of the covenants and conditions contained in this <br />Agreement, the parties agree as follows: <br /> <br />AGREEMENT <br /> <br />1. INCORPORATION OF EXHIBITS. <br />The parties acknowledge and agree that the following Exhibits are attached to this Agreement <br />and are incorporated into and made a part of this Agreement by reference: <br /> <br />Exhibit A: <br />Exhibit B: <br />Exhibit C: <br />Exhibit D: <br />Exhibit E: <br /> <br />Scope of Work <br />Technical Specifications <br />Pricing Agreement dated July 26th, 2006 <br />Spare Parts List <br />Spare Parts Quotation dated July 26th, 2006 <br /> <br />Any conflict between language in an Exhibit to this Agreement and the main body of this <br />Agreement shall be resolved in favor of the main body of this Agreement. <br />
