2. DEFINITIONS. The following terms shall have the following meanings for purposes of this Agreement (including all Exhibits): 2.1. AGREEMENT and CONTRACT: The terms" Agreement" and "Contract" shall mean this Agreement (including all Exhibits). 2.2. COMPANY: The term "Company" refers to Digital Payment Technologies Corp. 2.3. CITY: The term "City" refers to the City of Redwood City, California. 2.4. DELIVERABLES. The term "Deliverables" shall mean all equipment, materials, drawings, data, software, wiring, cable, incidentals and all other work product that the Company is required to complete and deliver to the City in connection with this Agreement. 2.5. EFFECTIVE DATE: The term "Effective Date" refers to the date this Agreement is fully executed by all parties to the Agreement. 2.6. PROJECT: The term "Project" refers to the Parking Pay Stations and all services provided by the Company for the City. 2.7. SERVICES: The term "Services" shall include all services that the Company provides or is required to provide under this Agreement. 2.8. SPECIFICATIONS AND REQUIREMENTS. The term "Specifications and Requirements" shall mean all definitions, descriptions, requirements, criteria, warranties, and performance standards relating to the Equipment and Services that are set forth or referenced in this Agreement, including the Exhibits. 3. TERM. The initial term of this Agreement will begin on the Effective Date and continue in force for three (3) year unless terminated earlier pursuant to the terms listed herein. The City Manager may amend the Agreement to extend it for two (2) additional one (1) year periods or parts thereof in an amount not to exceed the Company's published list price per Agreement year. Extensions will be based upon a satisfactory review of Company's performance, City needs, and appropriation of funds by the City Council. The parties will prepare a written amendment indicating the effective date and length of the extended Agreement. 4. GENERAL DESCRIPTION OF SERVICES. The Company will be required to provide all equipment, materials, training, and technology to deliver the Product and Services as specified in this Agreement and Exhibit A, Scope of Work. The Services include delivery, commissioning of Parking Pay Stations equipment and system training as specified in the Scope of Work.
