Mr. Javier Sierra
August 8, 2006
Page 2

well design, your interests can best be represented by the consultants observing the
work and reviewing data at critical times as the project progresses.

seOPE OF WORK

This proposal letter only covers the scope and cost of our ground-water
development services for construction of the well. The first phase (Phase 1) will involve
preparation of some technical guideline specifications for the project, a review of
quotations for the work submitted by drilling contractors, and drilling and analysis of
hydrogeologic data from a test hole, Assuming the results of Phase 1 prove
satisfactory, Phase 2 will consist of production well construction, well development, and
aquifer testing. We propose that the following tasks be completed as part of each of the
phases:

PHASE 1

1. preparation of technical guideline specifications for test hole drilling
and evaluation and well construction and testing, including review of
drilling contractor's quotations.

2. on-site observation at critical times of the test hole drilling operations.

3. electrical log evaluation (if necessary) and production well design

PHASE 2

1. on-site observation of the production well construction program, the
installation of casing, screens, gravel pack, and sanitary seal;

2. office review of the progress of well development operations;

3. office review of the pumping test protocol for the well; and

4. analysis of the pumping test results and the preparation of a report
summarizing the field activities and "as-built" construction of the well.

Should the results of the evaluation of the test hole indicate that either the
estimated quantity or quality of water to be produced does not meet project
requirements, the test hole will be abandoned and Phase 2 will not be completed. If,
