ORIGINAL AGREEMENT This Agreement ("Agreement") is made and entered into as of this 25th day of August, 2006, by and between the following entities (sometimes referred to as the "Parties"): Public Allies Silicon Valley, whose principal place of business is 600 Valley Way, Suite C, Milpitas, CA 95035. Public Allies Silicon Valley is a program of Bay Area Community Resources, a State of California non-profit corporation incorporated under the laws of the State of California with its principal place of business at 171 Carlos Drive, San Rafael, CA 94903. City of Redwood City/Fair Oaks Community Center("Partner Organization"), a 501(c)3, with its principal place of business at: 2600 Middlefield Road Redwood City, CA 94063 WITNESSETH: WHEREAS, Public Allies Silicon Valley's Leadership Development Program ("Program"), the purpose of which is to recruit and select young people (collectively, the "Allies"; individually, an "Ally") for training and placement in public interest groups, community- based organizations, government agencies and other organizations working for social change; and WHEREAS, Partner Organization has indicated that it: (a) (b) (c) (d) is an organization having service in the public interest as its mission; is committed to diversity, staff development and thoughtful management; has a clearly defined and compensated AmeriCorps service position ("position") suitable for a prospective Ally, expected to have an approximate duration of ten months (September I, 2006 through June 30, 2007) following commencement of employment (such months constituting the "Term") ; will not use federal funds or federal grant dollars for payment or compensation for the AmeriCorps member or for purposes of fulfilling Section I (B) (i); ( e) will provide a close formal relationship pursuant to which Public Allies Silicon Valley will furnish to Partner Organization, and Partner Organization will ...-L}v. . .....~, i,k - 1
