AMENDMENT NO. 1 TO AGREEMENT FOR SERVICES (CDM Smith, Inc.) This Amendment No. 1 (the "Amendment No. 1") is entered into and effective as of October 5 , 2020, by and between the City of Redwood City, a charter city and municipal corporation of the State of California ("City"), and CDM Smith, Inc., a California corporation ("Consultant") (collectively, the "Parties"). The Parties previously executed that certain Agreement for Professional Services for transportation planning and financial analysis services to conduct a financial feasibility study, benefit -cost analysis, and economic impact analysis, and agreed to pay the Consultant a not -to -exceed amount of Four Hundred Fifty Seven Thousand and Nine Hundred and Twenty Five Dollars ($457,925), dated as of February 4, 2019, (the "Original Agreement"). B. City has partnered with the Water Emergency Transportation Authority and the Port of Redwood City ("Project Partners") to work collaboratively to evaluate the feasibility of public ferry service in Redwood City. C. City, in coordination with the Project Partners, has asked Consultant to revise certain project deliverables during the course of work and provide further analysis to include additional ridership variables. D. The Parties have negotiated and agreed to the terms and conditions set forth in this Amendment No. 1 to increase the not -to -exceed amount, including any terms and conditions of the attached Exhibit A, incorporated herein by reference. NOW, THEREFORE, in consideration of these recitals and the mutual covenants contained herein, the Parties agree as follows - 1 . ollows: 1. Consultant will provide the additional services set forth in Exhibit A, and such services will be considered part of the Services for purposes of the Agreement. 2. City will pay Consultant a not -to -exceed amount of Forty Five Thousand Seven Hundred and Ninety Three Dollars ($45,793) for the completion of all the services described in Exhibit A, which sum will include all costs or expenses incurred by Consultant. Including all amendments through Amendment No. 1, the total amount payable under the Agreement will be a not -to -exceed amount of Five Hundred and Three Thousand and Seven Hundred and Eighteen Dollars ($503,718). 3. All other provisions of the Agreement will remain in full force and effect. 4.
