ORIGINAL <br />ASSIGNMENT AND ASSUMPTION OF LEASE <br />(Courthouse Square) <br />THIS ASSIGNMENT AND ASSUMPTION OF LEASE ("Assignment") is executed <br />and effective as of,-�. (o, .2011 '2019 by and between the CITY OF REDWOOD CITY, <br />a charter city and municipal corporation of the State of California ("City") REGINA VAN <br />BRUNT, an individual doing business as "Some Stuff on the Square" ("Assignor"), and Greg <br />Garcia and Angela Rogan, individuals ("Assignees') (collectively referred to herein as the <br />"Parties"), with reference to the following facts: <br />RECITALS <br />WHEREAS, pursuant to that certain Cooperative Agreement between the County of San <br />Mateo ("County") and the City for Preservation of the Historic County Courthouse Block, <br />Removal of the South Annex, Reconstruction of the Courthouse Fagade and Creation of a <br />Courthouse Plaza, and Grant of Easement and Lease entered on May 3, 2005, ("Cooperative <br />Agreement'), the County granted and conveyed to the City an exclusive easement ("Easement's <br />to construct and maintain the Courthouse Square Project ("Project"), including four available <br />Concession: Lease Area IA, Lease Area IB, Lease Area 2A, and Lease Area 2B; and <br />WHEREAS, on June 26, 2007, the City entered into a Partial Assignment and <br />Assumption Agreement to assign to the Redevelopment Agency of the City of Redwood City <br />("RDA") its Easement interest in the Concession Spaces at Courthouse Square; and <br />WHEREAS, on March 24, 2010, Steve Penna and Regina Van Brunt, individuals then <br />doing business together as "Some Stuff on the Square," entered into a "Lease Agreement" with <br />the RDA to lease the Courthouse Square Concession Space identified as Lease Area 2B <br />("Premises') which Lease Agreement was amended on March 14, 2011, by a First Amendment <br />to Lease Agreement ("First Amendment') (the Lease Agreement and the First Amendment are <br />collectively referred to herein as the "Lease"); and <br />WHEREAS, on February 1, 2012, the RDA was dissolved and the City determined that it <br />would serve as the Successor Agency to the RDA; and <br />WHEREAS, on April 12, 2017, the 2007 Partial Assignment and Assumption Agreement <br />with the former RDA was terminated on or about April 12, 2017, and the City assumed the rights <br />and obligations of the Successor Agency, including the Lease for "Some Stuff on the Square'; <br />and <br />WHEREAS, the death of Steve Penna on June 1, 2018, caused Regina Van Brunt to <br />assume all rights, obligations, and interest in, to, and under the Lease for "Some Stuff on the <br />Square," and Regina Van Brunt wishes to assign her rights, obligations, and interest in, to, and <br />under the Lease to Assignees; and <br />WHEREAS, the City agrees to such assignment on the terms set forth below. <br />Page 1 of 4 <br />REV: 01-03-19 VR <br />ATTY/AGR2019.002/Stuff on the Square <br />
