AGREEMENT NOW, THEREFORE, in consideration of the mutual covenants contained in this Assignment, the Parties agree as follows: Assignment and Assumption. Assignor hereby assigns to Assignee all of Assignor's rights, obligations, and interest in, to, and under the Lease. Assignee accepts such assignment, assumes all of Assignors obligations as leaseholder and tenant to the City as landord under the Lease, and agrees to be bound by all of the provisions of the Lease and to perform all of the obligations of the leaseholder under the Lease from and after the Effective Date of this Assignment Further, the Parties each separately acknowledge and agree that nothing contained in the Assignment is intended or shall be construed to be or constitute a modification of any terns or provisions of the Lease except as expressly stated herein, and that the foregoing statement includes, but is not limited to, any change in the use, compliance with laws, alterations, and/or surrender provisions of the Lease. 2. Effective Date of Assi®ruent The Assignment in this Agreement shall take effect on 120 ("Effective Date"), and Assignor shall give possession of the Premises to Assignee on that date. 3. Landlord's Consent. The City, as landlord, consents to the Assignment without waiver of the restriction concerning further assignment. 4. Notice.
