5. Insurance. Assignee shall, at all times during the term of this Assignment, comply with <br />the Citys insurance requirements in effect as of the Effective Date and provide the City <br />an insurance certificate evidencing such compliance and separate endorsement naming <br />the City as additional insured. <br />6. Severability. If any term or provision of this Assignment is, to any extent, held to be <br />invalid or unenforceable, the remainder of this Assignment will not be affected, and each <br />term or provision of this Assignment will be valid and be enforced to the fullest extent <br />permitted by law. <br />7. Disputes. In the event of any dispute between Assignor and Assignee arising out of the <br />obligations of the parties under this Assignment or concerning the meaning or <br />interpretation of any provision contained herein, the losing party shall pay the sole <br />prevailing party's costs and expenses of such dispute, including, without limitation, <br />reasonable attorneys' fees and costs. <br />8. Governing Law. This Assignment will be governed by, and construed in accordance <br />with, California law. <br />9.
