<br />Further, Lessee shall conduct its business upon the premises so as not to endanger any person lawfully <br />thereon. Lessee agrees to indemnify and hold harmless the Lessor, its officers, agents, and employees from <br />and against any and all claims, demands, losses, liabilities, costs, or expenses of any nature (including rea- <br />sonable attorney's fees and costs) not otherwise specifically agreed to herein, arising from, or in any manner <br />resulting from Lessee's presentation and promotion of the live entertainment performances at the Premises or <br />in any manner directly or indirectly arising from Lessee's use or occupancy of the Premises and regardless of <br />whether arising from matters before or after the event or on or off the Premises unless such claims, demands, <br />losses, costs, liability, or expenses results from the negligence or willful misconduct of Lessor, its agents, em- <br />ployees or independent contractors. <br />Lessor agrees to indemnify and hold harmless the Lessee, its officers, agents, employees and independent <br />contractors from and against any and all claims, demands, losses, liabilities, costs, or expenses of any nature <br />(including reasonable attorney's fees and costs) arising from, or in any manner resulting from negligent acts or <br />omissions or willful misconduct of Lessor, its employees, agents and independent contractors regardless of <br />whether arising from matters before or after the event or on or off the Premises except to the extent such <br />claims, demands, losses, costs, liability, or expenses results from the negligence or willful misconduct of Les- <br />see, its agents, employees or independent contractors. <br /> <br />8) MISCELLANEOUS - No representation, warranty, condition, or agreement of any kind or nature whatsoever <br />shall be binding upon the parties hereto unless incorporated in the Agreement. This Agreement contains all of <br />the terms and conditions agreed upon by the parties hereto, and may not be amended except by an instrument <br />in writing signed by the parties. <br /> <br />9) SERVICES/FACILITIES - Lessor shall furnish all necessary house personnel (no ushers) and facilities re- <br />quired for Lessee's use of the Little Fox, which shall only include house technician, available power, heating <br />and air conditioning, normal illumination, sound equipment, loading facilities, dressing rooms, janitorial and <br />cleanup. Lessee shall pay Lessor for such services and facilities the amount specified in the Basic Lease In- <br />formation. <br />Lessor retains the right to charge Lessee for any extraordinary staffing or equipment requirements requested in <br />writing by Lessee through Lessee's Authorized Representative. Lessee shall pay for the services of all of its <br />employees and independent contractors. <br /> <br />10) EXTRA SERVICE - Lessee shall pay Lessor on demand, such other and further sums as may become due <br />to Lessor on account of special facilities or extra services furnished by Lessor at Lessee's written request and <br />not covered by the provisions of paragraph 9 above. <br /> <br />11) SECURITY - Lessor reserves the right to determine the number of security patrol that will be necessary to <br />safeguard the premises during Lessee's operations. Lessee shall provide and pay for adequate security per- <br />sonnel and/or house ushers for the production and safety of its event. <br /> <br />12) EXPIRATION OF LEASE - Lessee shall vacate the Premises on or before the Move-out Time specified in <br />the Basic Lease Provisions leaving the Premises in the same condition as when received, ordinary wear and <br />tear excepted. Lessee shall remove from the Premises on or before the Move-out Time specified in the Basic <br />Lease Information, all property, goods and effects belonging to Lessee or brought upon the Premises by or at <br />the direction of Lessee. Should any damage occur, Lessee shall be responsible for the cost of repair of dam- <br />age in excess of ordinary wear and tear that is not covered by insurance carried by Lessor. Lessor shall item- <br />ize any such alleged damage within eight (8) hours following the Move-out time. Amounts for which Lessee is <br />liable may be deducted from Security Deposit. <br /> <br />13) ABANDONED PROPERTY - If under the provisions hereinabove any property is not removed within the <br />above stated article, the Lessor shall have the right to store same and dispose of same in accordance with all <br />applicable laws. <br /> <br />14) ASSIGNMENT - Neither this lease nor any of the rights of Lessee hereunder may be assigned in whole or <br />in part without consent of Lessor. <br /> <br />page 3 <br /> <br />~Inmal ~-4')\ c< <br /> <br />L- <br /> <br />r--". <br />
