(1) They are commenced within five(5) days after service on <br />Lender of the notice described in subparagraph b above; <br /> <br /> (2) They are, after having been commenced, diligently pursued in <br />the manner required by law to completion; and <br /> <br /> (3) Lender keeps and performs all of the terms, covenants, and <br />conditions of this Lease requiring the payment or expenditure of money by Lessee until <br />the foreclosure proceedings are complete or are discharged by redemption, satisfaction, <br />payment, or conveyance of the Leasehold Estate to Lender. <br /> <br /> g. Assignment on Foreclosure or Assignment in Lieu of Foreclosure. <br /> <br />A transfer of the Lessee's Leasehold Estate to any of the following shall not <br />require the prior consent of Lessor provided Lessee is not then in default of this Lease: <br /> <br /> (1) A purchaser at a foreclosure sale under the Leasehold <br />Encumbrance, whether the foreclosure sale is conducted pursuant to court order or <br />pursuant to a power of sale, provided the Lender gives Lessor written notice of the <br />transfer, including the name and address of the purchaser and the effective date of the <br />transfer; or <br /> <br /> (2) An assignee of the Leasehold Estate pursuant to an <br />assignment in lieu of foreclosure, provided the Lender under the Leasehold Encumbrance <br />gives Lessor written notice of the transfer, including the name and address of the assignee <br />and the effective date of the assignment. <br /> <br /> h. New Lease to Lender. <br /> <br /> Notwithstanding any other provision of this Lease, should this Lease temfinate for <br />any reason, including default under or breach of this Lease by Lessee or because the <br />Lease is rejected in any bankruptcy proceeding, Lessor agrees to enter into a new Lease <br />for the Premises with the Lender as Lessee, provided: <br /> <br /> (1) A written request for the new Lease is served on Lessor by <br />Lender within twenty (20) days after Lender's receipt of the notice described in <br />subparagraph e above; <br /> <br /> 17996.00003XBGLIB 1\1085097.9 14 <br /> <br /> <br />
