(2) The new Lease is for a term ending on the same date the term <br />of this Lease would have ended had this Lease not been terminated, and contains the <br />same terms, covenants, conditions, and provisions as are contained in this Lease (except <br />those that have already been fulfilled or are no longer applicable); <br /> <br /> (3) Lender, on execution of the new Lease by Lessor, pays any <br />and all sums that would at the time of the execution of the new Lease be due under this <br />Lease but for its termination and shall otherwise fully remedy, or agree in writing to <br />remedy, any other defaults under or breaches of this Lease committed by Lessee that can <br />be remedied; <br /> <br /> (4) Lender, on execution of the new Lease, pays all reasonable <br />costs and expenses, including attorneys' fees and court costs, incurred in terrrdnating this <br />Lease, recovering possession of the Premises from Lessee or the representative of Lessee, <br />and preparing the new Lease. <br /> <br /> The new Lease shall (i) be subject to all existing subleases between <br />Lessee and any sublessees, provided that for any sublease, the sublessor agrees in writing <br />to attorn to Lender (or its assignee) and (ii) be assignable by Lender, but not by any <br />assignee of Lender, without the prior written consent of Lessor. Between the date on <br />which this Lease is terminated and the execution of the new lease (i) all subleases shall <br />become direct subleases between Lender and the then existing subtenants (ii) Lessor shall <br />take no action to cancel any such direct subleases without Lender's prior written consent, <br />and (iii) at Lender's request Lessor shall enter into subordination, attornment and non- <br />disturbance agreements with such subtenants. <br /> <br /> i. No Merger of Leasehold and Fee Estates. For as long as any <br /> <br />Leasehold Encumbrance is in existence, there shall be no merger of the Lessor's fee <br />simple interest and the Leasehold Estate. <br /> <br /> j. Request of Lender. Lessor, upon request of Lender, shall execute a <br /> <br />Lease directly between Lessor and Lessee's Lender (in a form reasonably acceptable to <br />Lessor and Lender) confirming that Lender shall have the full benefit of the provisions of <br />this paragraph 15.
