27. CONVEYANCE BY LESSEE. In case the original or any successor <br />Lessee shall assign this Lease, it shall thereupon be released from all liabilities and <br />obligations of Lessee under this Lease (except those accruing prior to such conveyance or <br />other disposition) and such liabilities and obligations shall be binding solely on its <br />successor in interest. <br /> <br /> 28. DISPUTES SUBJECT TO MEDIATION AND ARBITRATION. Any <br />dispute between the parties relating to the interpretation and enforcement of their rights <br />and obligations under this Lease shall be resolved solely by mediation and arbitration in <br />accordance with the Provisions of Paragraphs 29 and 30 below. <br /> <br /> 29. INITIAL MEDIATION. With respect to any dispute between the parties <br />that is to be resolved by arbitration, the parties shall attempt in good faith first to mediate <br />such dispute and use their best efforts to reach agreement on the matters in dispute. <br />Within five (5) days of the request of any party, the requesting party shall attempt to <br />employ the services of a third person mutually acceptable to the parties to conduct such <br />mediation within twenty one (21) days of his appointment. If the parties are unable to <br />agree on such third person, or, if on completion of such mediation, the parties are unable <br />to agree and settle the dispute, then the dispute shall be referred to arbitration in <br />accordance with Paragraph 30. <br /> <br /> 30. ARBITRATION. Any dispute between the parties that is to be resolved by <br />arbitration as provided in Paragraph 28 shall be settled and decided by arbitration <br />conducted by the American Arbitration Association in accordance with the Commercial <br />Arbitration Rules of the American Arbitration Association, as then in effect, except as <br />provided below. Any such arbitration shall be held and conducted in the County of San <br />Mateo by an arbitrator, who shall be selected by mutual agreement of the parties; if <br />agreement is not reached on the selection of an arbitrator within fifteen (15) days, then <br />Lessee and Lessor shall each choose an arbitrator, each of whom shall agree to select a <br />third arbitrator who would actually arbitrate the dispute between the parties. <br /> <br />17996.00003XBGLIB 1 \1085097.9 23 <br /> <br /> <br />
