All representations, warranties, covenants and agreements of Trustor hereunder <br />shall survive the delivery of this Deed of Trust and shall continue in full force and effect until the <br />full and final payment and performance of all of the Obligations. <br /> <br />Time <br /> <br /> 24. Time is hereby declared to be of the essence of this Deed of Trust and every part <br />hereof. <br /> <br />Modification~ Waiver <br /> <br /> 25. No modification, waiver, amendment, discharge or change of this Deed of Trust <br />shall be valid unless the same is in writing and signed by the party against which the <br />enforcement of such modification, waiver, amendment, discharge or change is sought. <br /> <br />General Provisions <br /> <br /> 26. (a) Trustee is not obligated to notify any party hereto of any pending sale <br />under any other deed of trust or of any action or proceeding in which Trustor, Beneficiary or <br />Trustee shall be a party, unless brought by Trustee. <br /> <br /> (b) Except for liability, damage or expense caused by Trustee's gross <br />negligence or willful misconduct, Trustee shall be indemnified by Trustor, held harmless and <br />reimbursed by Trustor for any liability, damage or expense, including attorneys' fees and <br />amounts paid in settlement, which Trustee may incur or sustain in connection with this Deed of <br />Trust or in the doing of any act which Trustee is required or permitted to do by the terms hereof <br />or by law, and shall be reimbursed therefor upon demand. <br /> <br /> (c) The acceptance by Trustee of this Trust shall be evidenced when this Deed <br />of Trust, duly executed and acknowledged, is made a public record as provided by law. <br /> <br />17996.00003'OSGLIBl\1083970.6 17 <br /> <br /> <br />
