5. Powe rs. SAHCAT shall have the following powers common to the Members: Conducting research; administering franchises; administering channels allocated or contracted for city, county, school, public safety or community uses, and acquiri:1g. cons tructing and leas ing facilities for community televis ion antenna systems with facilities and appurtenances necessary or convenient therefor. SAMCAT shall further have the power to maintain and operate facilities that have been acquired or constructed by SAMCAT, > and the facilities and appurtenances necessary thereto. SAHCAT hereby is authorized to do all acts necessary for the exercise of said common powers for said purposes, including, but not limited to, any or all of the following: To hire employees; to make and enter into contracts; to acquire, construct, manage, maintain or operate any CATV system and communication networks, buildings, works or improvements; to acquire, hold or dispose of property, pursuant to this agreement between the parties hereto and any other public agencies; to incur debts, liabilities or obligations required by the exercise of these powers that do not constitute a debt, liability or obligation of the Members; to sue and be sued in its own name; and, to do all things that are necessary and convenient in the exercise of the foregoing enumerated powers. Said powers shall be exercised in the manner provided and, except as expressly set :orth herein. subject only to such restrictions upon the manner of exercising such powers as are imposed upon the Members in the exercise of similar- power-s. Nothing in this Agr-eement shall prohibit members from issuing and administerir:g cable television franchises and/or public access channels separately ana apart from SAHC:'T. 1/24/89 J of 11094
