Such purpose will be accomplished, and said <br /> <br />COmmon powers exercised, in the manner hereinafter set forth and in accordance <br /> <br />with laws of the State of California. <br /> <br />2. <br /> <br />Establishment of the San Mateo Cable Telev-ision Authority:. <br /> <br />The <br /> <br />Members hereby create an agency or entity to be kno~ as the San Mateo Cable <br /> <br />Television Authority (hereinafter referred to as "SAMCAT"). SAMCAT shall be an <br /> <br />agency or entity that is separate from the Members and shall be responsible for <br /> <br />the administration of this agreement. <br /> <br />Except as provided herein, the debts, <br /> <br />liabilities, and/or obligations of SN1CAT shall be the debts, liabilities, and/ <br /> <br />or obligations of SAl-ICAT and not the debts, liabilities, and/or obligations of <br /> <br />the Members. <br /> <br />3. Term. This agreement shall be effective upon its execution by the <br /> <br />Members. This agreement shall continue in effect until terminated as provided <br /> <br />herein. <br /> <br />4. <br /> <br />Board of Directors. <br /> <br />Each participating Member shall appoint one <br /> <br />representative to serve on the Board of Directors for a three year term. The <br /> <br />terms shall be staggered and their timing is to be set permanently by the drawing <br /> <br />of lots at the first Board meeting, with some members serving reduced original <br /> <br />terms. The Eoard shall elect one of its members to serve as Chairperson. The <br /> <br />Board shall meet as needed, but at least quarte-rly, and shall operate the <br /> <br />programs of SA11CAT, shall revie'..r SAl-ICAT' s progress and accomplishments, and shall <br /> <br />resolve problems hindering the Success of SAl-!CAT.
