Member Agency Involvement

The following seven milestone events will involve communications with member agency
elected officials. Four of the events require direction and/or approval from the member
agencies. The seven milestones are: (1) provide general overview of the process; (2)
request approval of the services and process and commitment to the process; 3}
request approval of request for proposals and draft agreements; 4) attend proposer
presentations; 5} receive proposal summaries; 6} request approval of recommended
contractors; and, 7) request approval of negotiated contracts.

C. RFP and Contractor Selection Process

The contractor selection process will involve soliciting proposals through a request for
proposals (RFP) process. RFP(s) will be issued for collection and facility operations
services. The same company could be selected for all collection and operations
services or three different companies could be selected (two for collection services and
one for facility operations). Two other RFPs will be issued for: (1) off-site yard and food
waste composting services; and, (2) interim and back-up off-site single-stream
recyclable materials processing services.

Proposals will be evaluated using defined evaluation criteria and weighting that will be
disclosed to proposers in the RFP and used to evaluate and numerically score and rank
proposers. The evaluation criteria will include: company and staff qualifications; merits
of technical proposal; environmental benefits and impacts; responsiveness to contract
terms; and costs. The RFP documents will specify that the member agencies reserve
the right to act in the best interest of their residents and businesses, including the right
to reject a proposal that is given the highest quantitative scoring in the evaluation
process if the proposal is not in the best interest of their residents and businesses.

The evaluation team will be industry consultants, industry experts, and member agency
and SBWMA staff engaged in the regular oversight, management, or operation of solid
waste, recyclable materials, and organic materials systems. The evaluation team will
present its results to a selection team, which will be comprised of high-level member
agency and SBWMA Board members, and elected officials. The selection team will
recommend the contractors for approval by the SBWMA Board and member agency
elected officials.

D. Contractor Selection Process Integrity

To maintain transparency and integrity throughout the contractor selection process, a
code of conduct was approved by the SBWMA Board on November 30, 2006. The
code of conduct provides guidance regarding prohibition of: (i) ex parte contacts with
proposers; and, (ii) gifts and compensation from proposers.

HF&H Consultants" LLC

ES-3
