<br />ORIGINAL <br /> <br />AMENDMENT NO.1 TO EXTEND AND AMEND AGREEMENT <br />FOR DEBT COLLECTION SERVICES <br />COLLECTION BUREAU OF AMERICA <br /> <br />This Amendment No. 1 is entered into and effective as of the I fO day of <br />, 2008, extending and amending the agreemen'tdated 18TH <br />day of ece ber, 2006, (the "Agreement") by and between the City of Redwood City, a <br />charter ci and municipal corporation of the State of California ("City"), and Collection <br />Bureau of America, Inc., a California corporation, ("CBA" or "Consultant") (collectively, <br />the "Parties") for CBA to provide additional services to the City as set forth below. <br /> <br /> <br />RECITALS <br /> <br />WHEREAS, the City wishes to obtain the services of a vendor who has the <br />equipment and knowledge automatically to dial and deliver a pre-recorded message on <br />behalf of the City to City of Redwood City customers; and <br /> <br />WHEREAS, CBA provides automated dialing and pre-recorded message <br />services to businesses like City of Redwood City; and <br /> <br />WHEREAS, the City has a preexisting relationship with CBA for debt collecting <br />services; and <br /> <br />WHEREAS, the Parties desire to enter into this Addendum to their Agreement for <br />Debt Collection Services, for CBA to provide automated dialing and pre-recorded <br />message services to the City for one time set up fee, recurring monthly charge and per <br />call charge (Exhibit "A"); and <br /> <br />WHEREAS, the Parties have negotiated and agreed to a supplemental scope of <br />work and fee schedule, which is attached to and incorporated in by this reference as <br />Exhibit "A," Scope of Services and Fee. <br /> <br />NOW, THEREFORE, in consideration of these recitals and the mutual covenants <br />contained herein, the Parties agree as follows: <br /> <br />1. In addition to those services contained in the Agreement, as may have <br />been amended from time to time, Consultant will provide those services described in <br />Exhibit "A." City will pay Consultant for all work associated with those services <br />described in Exhibit "A" on a time and materials basis not-to-exceed nine thousand two <br />hundred dollars ($9,200.00) semi-annually. Consultant will provide City, on a monthly <br />basis, copies of invoices sufficiently detailed to include hours performed, hourly rates, <br />and related activities and costs for approval by City. <br /> <br />2.
