D. ADDITIONAL SERVICES. Motorola agrees that for five (5) years from System <br /> Acceptance, Customer and any Eligible Purchaser may purchase services related <br /> to the additional purchase of Exluipment. The parties will negotiate in good faith <br /> the description and pricing of such services at the time of that transaction and, to <br /> the extent applicable to the transaction, jointly develop system descriptions, <br /> equipment lists, statements of work, acceptance test plans, and such other <br /> documents as are reasonable and appropriate for the particular transaction. <br /> <br />E. PARTS. Provided Customer makes the initial parts purchase as recommended by <br /> Motorola in Volume I, Section J, of the Proposal, Motorola guarantees to <br /> Customer to have applicable parts for Motorola manufactured Equipment <br /> available for five (5) years and seven (7) years from the date of last manufacture <br /> for subscriber equipment and fixed infrastructure equipment, respectively; <br /> Customer and any Eligible Purchaser may purchase additional parts for Motorola <br /> manufactured Equipment at the published list price less applicable discounts (plus <br /> applicable freight charges); the methodology for ordering additional parts, <br /> delivery times, and applicable t~tms will be Motorola's then standard provisions. <br /> <br />F. ORDERS OF ADDITIONAL EQUIPMENT OR SERVICES. Each subsequent <br /> purchase offofthis Agreement will be a separate transaction. Payment terms for <br /> the purchase of additional Equipment or parts shall be net 30 days from the date <br /> of invoice as shipped or as other, vise agreed. Payment terms for the purchase of <br /> additional Services will be net 30 days from the date of invoice as performed or as <br /> otherwise agreed. Notwithstanding the above, if the purchase is being made by a <br /> non-governmentai Eligible Purchaser. Motor~'!a shall have tl~e right to review and <br /> approve the credit standing of such non-governmental Eligible Purchaser and to <br /> amend reasonably the payment terms for such purchases. If Customer or any <br /> Eligible Purchaser wishes to purchase additional Equipment or additional <br /> Services offof this Agreement as permitted in Sections 3.D and E above, it must <br /> issue a purchase order or similar purchasing document that specifically states: <br /> <br /> "This purchase is made pursuant to Section 3 of the Agreement between Motorola <br /> and San Mateo County dated March 28, 2001. By issuing this purchase order, <br /> issuer agrees that the applicable provisions, terms and conditions of the <br /> Agreement, as well as the Soft-ware License Agreement that is Exhibit A to the <br /> Agreement, govern this purchase." <br /> <br /> G. MAINTENANCE SERVICE. During the first year after System Acceptance, <br /> maintenance services and software support are provided pursuant to the terms of <br /> this Agreement, the ESS Plan (Exhibit C), and the Software Subscription <br /> Agreement (Exhibit D). Such services are included in the Purchase Price. After <br /> the first year following System Acceptance, Customer may purchase maintenance <br /> services and software support for the Communications System pursuant to a <br /> separately executed Service Agreement and Software Subscription Agreement. <br /> <br /> 3 <br /> <br /> <br />
