E. MOTOROLA SOFTWARE. Any Motorola Software furnished will be licensed to <br /> Customer solely according to the terms and restrictions of the Sof~ware License <br /> Agreement attached as Exhibit A. Customer hereby accepts all of the terms and <br /> restrictions of the Sofavare License Agreement. <br /> <br /> F. NON-MOTOROLA SOFTWARE. Any Non-Motorola Soft.ware furnished by <br /> Motorola will be subject to the terms and restrictions of its copyright owner <br /> unless such copyright owner has granted to Motorola the right to sublicense such <br /> Non-Motorola Software, in which ease the Software License Agreement <br /> (including any addendum to satisfy such copyright owner's requirements) shall <br /> apply. <br /> <br />SECTION 4 PERFORMANCE SCHEDULE <br /> <br /> A. Motorola and Customer agree to perform their responsibilities in accordance with <br /> thc Implementation Schedule included in the Proposal, as it may be modified in <br /> the Detailed Design Document. <br /> <br /> B. By executing this Agreement, Customer authorizes Motorola to proceed with the <br /> manufacture, assembly, integration, delivery, installation, and testing of the <br /> Communications System. No further notice to proceed, purchase order, <br /> authorization, resolution, or any other action will be required. <br /> <br /> C. Becaus~ the 5rst major ~_:iverable under this Agreement is the Detailed Design <br /> Document ("DDD"), the first major activity of the parties will be the Detailed <br /> Design Review ("DDR") proc.ess. Motorola and Customer shall participate in and <br /> complete this DDR process as more fully described below: <br /> <br /> 1. Detailed Design Document. As part of the DDR process, Motorola will prepare a <br /> Detailed Design Document, the purpose of which is to finalize and document the <br /> design of the System. The DDD shall be based upon and consistent with the <br /> design and other technical documents, specifically the System Description <br /> contained in the Proposal, the Equipment List, Statement of Work, and <br /> Acceptance Test Plan. The DDD shall be in sufficient detail to permit Customer's <br /> technically qualified project engineers to understand the design of the System, and <br /> shall include: a description of the functional and operational requirements of the <br /> System, the Equipment involved in the System, and the engineering specifications <br /> and initial drawings governing system configuration, installation, optimization, <br /> and testing of the System. The DDD excludes a cut over plan; such plan will be a <br /> separate deliverable provided after the DDD is approved. The parties expect that <br /> the approved DDD may include a Change Order to revise the Implementation <br /> Schedule, and possibly, other matters. In projects such as this, it is not uncommon <br /> for Change Orders to result because site conditions and necessary site preparation <br /> work may be different fi.om what the parties presumed when this Agreement is <br /> entered.
