We have certainly enjoyed having the opportunity <br /> to work with the City and the Authority on their 2005 and 2006 recycled water financings. <br /> As disclosure counsel, we would provide the following legal services in connection with <br /> the captioned bonds: <br /> (i) Prepare the Official Statement (both preliminary and �nalj for the <br /> financing; <br /> (ii) Confer and consult with the officers and administrative staff af the City <br /> and the Authority as to matters relating to the O�cial Statement; <br /> (iii} Attend all meetings of the Ci#y and the Authority and any administrative <br /> meetings at which the O�cial Statement is to be discussed, deemed necessary by us.for <br /> the proper exercise of our due diligence with respect to the Official Statement, vr when <br /> specifically requested by fhe City or the Authority to attend; <br /> (iv) Conduct the due ditigence necessary to cvmplete the O�cial Statement <br /> and to render the opinion referenced in (vi) below; <br /> {v) On behalf of the City, prepare a continuing disclosure certificate of the <br /> City to assist the winning bidder or underwriter with comp(iance with the provisions of <br /> Securities and Exchange Commission Rule 15c2-12; and <br /> 1 <br /> _ _ _ <br />
