9. HOLD HARMLESS <br /> <br /> Each party hereto Cindemnitor") hereby agrees to defend, indemnity, and save harmless <br /> each other Party and its respective governing board, council, officers, boards <br /> commissions, agents, and employees (collectively, "Indcmnitees") against and fi.om any <br /> and all claims, suits, actions of every name, kind and description, which may be brought <br /> against indemnitees, or any of them, by reason of any injury to, or death of, any person <br /> (including corporations, partnerships and associations) or damage suffered or <br /> sustained by any such person arising from, or alleged to have arisen fi.om, any act or <br /> omission to act, negligent or otherwise, of indemnitors, its officers, agents or employees <br /> under this Agreement. <br /> <br />10. ACTS AND OMISSIONS OF EXECUTIVE DIRECTOR <br /> <br /> The acts and omissions of the Executive Director or any other employees, agents or <br /> volunteers acting on behalf of the RC 2020 program shall not in any way be construed as <br /> the acts and omissions of the City but shall be deemed as the acts and omissions of the <br /> Parties acting jointly. <br /> <br />11. COUNTERPARTS <br /> <br /> This Agreement may be executed in one or more counterparts, and each such counterpart <br /> shall be deemed an original for all purposes. <br /> <br />12. ENTIRE AGREEMENT <br /> <br /> This Agreement, together with any other written document referred to or contemplated by <br /> it embody the entire Agreement and understanding between the Parties relating to the <br /> subject matter of it. Neither this Agreement nor any of its provisions may be amended, <br /> modified, waived or discharged except in a writing signed by the Parties. <br /> <br /> <br />
