<br />ORIGINAL <br /> <br />AMENDMENT NO.1 TO LICENSE AGREEMENT <br />(855 Jefferson - Byrtus Group Inc. DBA Tarboosh Restaurant) <br /> <br />THIS AMENDMENT NO. 1 is entered into as of ~, 2010, amending the <br />license agreement dated February 21, 2007 (the "OriginaIUcert'?e Agreement") by and <br />between the Redevelopment Agency of the City of Redwood City, a public body, <br />corporate and politic, duly organized and existing under the laws of the State of <br />California ("Agency" or "Licensor"), and Byrtus Group, Inc., doing business as <br />"Tarboosh Restaurant hereinafter referred to as "Licensee", (collectively the "Parties"). <br /> <br />RECITALS <br /> <br />A. WHEREAS, in October 2005, the Redevelopment Agency of Redwood <br />City entered into a five-year Outlease Agreement with the United States Postal Service <br />that owns the outdoor area abutting the downtown post office located at 855 Jefferson <br />Street; and <br /> <br />B. WHEREAS, the Agency funded pedestrian amenities in the outdoor area <br />now called "The Paseo" that include a walkway path between the post office and the <br />Tarboosh restaurant, benches, pedestrian lighting, and landscaping; and <br /> <br />C. WHEREAS, in February 2007, the Agency entered into a License <br />Agreement with Tarboosh Restaurant located at 837 Jefferson for exclusive use of a <br />portion of The Paseo to allow Tarboosh to expand its outdoor operations for dining by <br />2,000 square feet; and <br /> <br />D. WHEREAS, Roy Atie of the Byrtus Group Inc., the owner of Tarboosh <br />strives to sustain the restaurant during this economic downturn and unusually cold <br />winter weather, and therefore is requesting a temporary license fee reduction for the <br />2,000 square foot open area in order to continue to serve Redwood City residents and <br />downtown visitors; and <br /> <br />E. WHEREAS, the Redevelopment Agency of Redwood City desires to <br />assist the Byrtus Group Inc. in its efforts to maintain the open area adjacent to <br />Tarboosh Restaurant; and <br /> <br />D. WHEREAS, The Parties have negotiated and agreed to the following <br />amendments to the Original License Agreement. <br /> <br />NOW THEREFORE, in consideration of these recitals and the mutual covenants <br />contained herein, the Parties agree as follows: <br /> <br />ATTY/AGR/2010/Amend No.1 License Tarboosh <br />041610 <br /> <br />1 <br />
