Any assignment, encumbrance, occupation or use contrary to <br /> <br />the provisions of this License shall be void and shall constitute breach of this License. Licensor may <br /> <br />assign any of its rights hereunder without notice to Licensee. <br /> <br />12.2.2 No assignment as approved b~ Licensor shall release Licensee of Licensee's <br /> <br />obligation or alter the primary liability of Licensee to pay the user fee and to perform all other obligations <br /> <br />by Licensee hereunder. The acceptance of user fees l!>y Licensor from any other person shall not be <br /> <br />deemed to be a waiver by Licensor of any provision hereof. In the event of default by any assignee of <br /> <br />Licensee or any successor of Licensee in the performance of any of the terms hereof, Licensor may <br /> <br />proceed directly against Licensee without the necessity of exhausting remedies against said assignee. <br /> <br />13. DEFAULTS BY LICENSE OR LICENSOR <br /> <br />13.1 Licensee shall be deemed in default if Licensee fails to cure any monetary <br /> <br />obligation within five (5) days after written notice from Li!censor, and Licensee shall be deemed in default <br /> <br />A TTY / AGR/2007 .002 <br />012407 <br /> <br />9 <br />
