At the request of eithef�arty or Century, the City will cause to be <br /> conducted an objective of Normal Pazking Practices of <br /> downtow� cinemas in San Mateo and Santa Clara Coundes and the <br /> parties and Century will use that survey information in good faith <br /> to attempt to reach agreement. The survey will include: <br /> i. Appropriate pazking time limits for cinema and non- <br /> cinema customers <br /> . ii. Appropriate charges, if any, for the pazking <br /> iii. The use of parking validation systems <br /> c. If the parties or Century do not agree within 90 days, either party <br /> or Century may request mediarion and the parties will cooperate in <br /> good faith with the mediation. <br /> d. If the issues are not resolved within 90 days by mediarion, the <br /> parties agree to go to binding arbitration, with the arbitration <br /> decision to be based on the Normal Parking Practices Survey. The <br /> arbitrarion shall not eliminate the cinema's access to four-hour <br /> parking, without Century's consent. The arbitration shall not <br /> eliminate the City's ability to treat non-Project businesses equal to <br /> non-cinema businesses in the Project, without the City's consent. <br /> The arbitration decision shall apply for ten years commencing at <br /> the expiration of the 20 year Initial Term. <br /> e. This conflict resolution process (meet and confer, mediation, <br /> arbitration) shall apply for the full 45 years. <br /> f. All of the City's obiigations under the Parking Facilities Agreement <br /> shall terminate after 45 years. <br /> 7. County Parking Garage. The City will ent�r into an agreement with the <br /> county to make approximately 650 parkin� spaces in the county parking <br /> garage available as public parking on evenings and weekends, and on <br /> Fridays when not in conflict with county itse of the garage. <br /> 8.
