The survey will include: i. Appropriate pazking time limits for cinema and non- cinema customers . ii. Appropriate charges, if any, for the pazking iii. The use of parking validation systems c. If the parties or Century do not agree within 90 days, either party or Century may request mediarion and the parties will cooperate in good faith with the mediation. d. If the issues are not resolved within 90 days by mediarion, the parties agree to go to binding arbitration, with the arbitration decision to be based on the Normal Parking Practices Survey. The arbitrarion shall not eliminate the cinema's access to four-hour parking, without Century's consent. The arbitration shall not eliminate the City's ability to treat non-Project businesses equal to non-cinema businesses in the Project, without the City's consent. The arbitration decision shall apply for ten years commencing at the expiration of the 20 year Initial Term. e. This conflict resolution process (meet and confer, mediation, arbitration) shall apply for the full 45 years. f. All of the City's obiigations under the Parking Facilities Agreement shall terminate after 45 years. 7. County Parking Garage. The City will ent�r into an agreement with the county to make approximately 650 parkin� spaces in the county parking garage available as public parking on evenings and weekends, and on Fridays when not in conflict with county itse of the garage. 8.
