0 R I G I N A L 6/30/97 <br /> <br /> RESOLUTION NO. 13123 <br /> <br /> JOINT RESOLUTION OF THE CITY OF REDWOOD CITY AND THE <br /> REDEVELOPMENT AGENCY OF THE CITY OF REDWOOD CITY <br />APPROVING AND AUTHORIZING ASSIGNMENT OF DEVELOPMENT <br />AGREEMENT FOR THE MEZES PLAZA PROJECT AND INTERESTS AND <br /> OBLIGATIONS THERETO <br /> <br /> WHEREAS, MEZES GROUP, INC., a California Corporation <br />("Developer") and the REDEVELOPMENT AGENCY OF THE CITY OF <br />REDWOOD CITY ("Agency") executed a Disposition and Development <br />Agreement ("DDA") effective as of the first day of November, 1994, from time <br />to time extended and amended, for the development of the Project to be <br />constructed on Parcel "A" and certain adjoining parcels, all as described in <br />the DDA, to which DDA the CITY OF REDWOOD CITY (the "City") is a party <br />to the limited extent that the City is to contribute to the Project an easement <br />eight (8') feet in width for underground parking under the portion of <br />Broadway that abuts the Project Site; and <br /> <br /> WHEREAS, MEZES PLAZA ASSOCIATES is a California Limited <br />Partnership which is wholly owned by Joseph Brady, John Berry, Patrick <br />Edens, Otello Ascani, as limited partners, and the Mezes Group, Inc. as its <br />general partner ("Assignee"); and <br /> <br /> WHEREAS, Developer desires to assign its interests in and obligations <br />under the DDA to Assignee and, in conformity with Sections 109 and 512 of <br />the DDA, has requested the Agency's prior written approval for such <br />assignment; and <br /> <br /> WHEREAS, Developer has provided Agency and City with <br />information and assurances that such assignment will enhance <br /> <br /> implementation of and the Agency's security in the Project, which <br /> 1 <br /> Mezes Assignment: AK/DES: <br /> June 20, 1997 <br /> <br /> <br />
