"Daify Boost" hereinafter referred to as <br /> "Licensee". <br /> RECITALS: <br /> A. WHEREAS, on May 3, 2005, the City of Redwood City entered inta a 55-year with <br /> four 10-year renewal periods available agreemer�t :vith the County of San Mate�, <br /> "Cooperative Agreement between the County of San Mateo and the City of Redwood <br /> City for Preservation of the Historic County Courthouse Block, Removal of the South <br /> Annex, Reconstruction of the Courthouse Fa�ade and Creation of a Courthouse <br /> Piaza, and Grant of Easement and License", herein ("Cooperative AgreemenY'). <br /> B. WHEREAS, the Cooperative Agreement was amended on August 24, 2006 thrflugh <br /> the First Amendment to the Cooperative Agreement between the County of San <br /> Mateo and the City of Redwaod City for Preservati�n af the Historic Caunty <br /> Caurthouse Block, Removal of the South Annex, Recanstruction of the Cour#house <br /> Fa�ade and Creation of a Caurthouse Plaza, and Grant of Easement and �icense <br /> ("First Amendment") to expand the Project to include fhe construction and pfacement <br /> of a resfroam facifi#y. <br /> C. WHEREAS, the Coopera#ive Agreement provides the City authority to sublet any or <br /> all portions of the Caurthause Square, including licenses to vendors, without the <br /> consent of the County for the purposes of maintaining the Courthouse Square as a <br /> public piaza. <br /> _ _ .. _ <br /> D. WHEREAS, Licensor has possession of that portian of Courthouse Square identified <br /> as "License Area "18" (the "License Area") described in the lega( description and pfat <br /> map identified as Exhibit "A" and illustrated in the site layout identified as Exhibit <br /> "B", both exhibits are attached hereto and incorporated herein by reference, which <br /> structure is located within Courthouse Square in the City of Redwood Ciiy, County of <br /> San Mateo, S#ate of California (the "Licensor's Praperty Interest" and the <br /> "Premises"}. <br /> E. WHEREAS, Licensee, Ruhina Karmali {60% owner}, Nazir Karmali (20% owner), <br /> and Nishila Karmali {20% owner} af Daify Boost LLC wishes to obtain a license to <br /> use License Area 1 B of the Courthouse Square for the use of 16 tables and 32 <br /> chairs provided by#he Licensor. <br /> F. WHI�REAS, Licensor and Licensee wish to enter inta an agreement for the use nf <br /> the Premises by Licensee, its agents, and customers. <br /> NOW THEREFORE, the parties agree as fallows: <br /> 1.
