The <br />MSA contains eight key exhibits: <br />1. Exhibit A — Statement of Work (SOW): This document details the process for implementation, the <br />various deliverables and definitions, post -production support maintenance and support, and the <br />implementation timeline. <br />2. Exhibit B — Requirements List: Detailed list of service requirements to be implemented as agreed- <br />upon CherryRoad and the City. <br />3. Exhibit C — Change Order Form: Form requisition for any project change that affects the schedule <br />or cost. <br />4. Exhibit D — CherryRoad/Oracle Cloud Services Agreement: This document includes legal terms and <br />conditions for the Oracle cloud software. <br />5. Exhibit E — CherryRoad/Oracle Public Sector Cloud Services Ordering Document: This document <br />details the Oracle Cloud Fusion modules purchased or Bill of Materials (BOM), and terms and <br />conditions of the relationship between CherryRoad, Oracle, and the City, including pricing. <br />6. Exhibit F — Payment and Retention Schedule: Comprehensive payment and retention schedule. <br />7. Exhibit G — ADP Global Master Services Agreement: This document contains additional <br />agreements with ADP for the production of W2's and some other payroll related services. <br />8.
