6.H. - Page 23 of 28 <br />1 <br />ATTACHMENT B <br />The Disclosure Coordinator shall arrange for disclosure training sessions conducted by <br />counsel qualified to serve as bond counsel and/or disclosure counsel to the City. Such training <br />sessions shall include the City's disclosure obligations under applicable federal and state <br />securities laws as well as the City's contractual obligations related to continuing disclosure. The <br />training sessions should also include the disclosure responsibilities and potential liabilities of <br />members of the City's staff and members of the City Council, and education on this Disclosure <br />Policy. Such training sessions may be conducted using recorded presentations. <br />This Debt Disclosure Policy shall be distributed to each person receiving training at the <br />time they receive their training. Upon the adoption or amendment of this policy, a copy of this <br />policy, as adopted or amended, shall also be distributed to the City Attorney, City Manager, <br />ACM/ASD, each City Council Member, the Disclosure Coordinator and any member of a <br />Financing Group or of the Annual Disclosure Compliance Group. In addition, at any time all officers and employees of the City are invited and <br />encouraged to make recommendations for changes to this Disclosure Policy so that it fosters <br />better compliance with applicable law, results in better information to investors, or makes the <br />procedures required by this Disclosure Policy more efficient. <br />The Disclosure Coordinator shall consider its review and any recommendation and advice <br />received from officers and employees of the City and determine whether to propose a change to <br />this Disclosure Policy. Any change to this Disclosure Policy shall be approved by resolution of the <br />City Council. <br />Definitions <br />" onds" means bonds, notes, certificates of obligation, certificates of participation, and <br />other debt obligations or securities of the City, or the payment of which the City is obligated <br />to support by a lease, contract, or other arrangement, that are sold to or otherwise held or <br />traded in by the public. <br />"Public Statement' means any statement or other communication that is intended (or <br />reasonably can be expected) to be accessible to and relied upon by investors in the City's <br />bonds, including, as applicable: <br />(a) preliminary and final Official Statements and other documents by which securities are <br />offered to the public by the City as well as solicitation statements by which the City offers <br />to purchase its bonds or requests consents or waivers regarding bonds; <br />(b) financial and operating data and Listed Event notices filed with the MSRB through <br />EMMA pursuant to a continuing disclosure agreement; <br />ATTY/RESO.0046/CC RESO APPROVING DEPT DISCLOSURE POLICIES & PROCEDURES -ATTACHMENT B <br />REV: 05-07-19 VR <br />Page 7 of 12 <br />Last update: 5/24/16 <br />319 <br />
