REV: 04-15-2021 VR AMENDMENT NO. 1 TO AGREEMENT FOR SERVICES (Christine Firstenberg DBA Retail Real Estate Resources) This Amendment No. 1 (the “Amendment No. 1”) is entered into and effective as of _______________, 2021, by and between the City of Redwood City, a charter city and municipal corporation of the State of California (“City”), and Christine Firstenberg, an individual (“Consultant”) (collectively, the “Parties”). RECITALS A. The Parties previously executed that certain Agreement for Professional Services, dated as of April 8, 2019, (the “Original Agreement”). B. The Parties have negotiated and agreed to the extension set forth in this Amendment No. 1, incorporated herein by reference. NOW, THEREFORE, in consideration of these recitals and the mutual covenants contained herein, the Parties agree as follows: 1. City will pay Consultant a not-to-exceed amount of Thirty Thousand Dollars ($30,000) for the completion of all the services described in Exhibit “A” of the Original Agreement, which sum will include all costs or expenses incurred by Consultant. Including all amendments through Amendment No. 1, the total amount payable under the Agreement will be a not-to-exceed amount of Sixty Thousand Dollars ($60,000). 2. Unless terminated earlier, the term of this Amendment will be a period of two years from the effective date of this Amendment. Including all amendments, through Amendment No.1, the total term of this Agreement is four years from the Effective Date of this Agreement. 3. All other provisions of the Agreement will remain in full force and effect. 4. All requisite insurance policies to be maintained by Consultant pursuant to the Agreement will include coverage for this Amendment. 5. The individuals executing this Amendment and the instruments referenced in it on behalf of Consultant each represent and warrant that they have the legal power, right and actual authority to bind Consultant to the terms and conditions of this Amendment. 6. Electronic Signatures. If all Parties agree, electronic signatures may be used in place of original signatures on this Agreement. Each Party intends to be bound by the signatures on the electronic document, is aware that the other Parties will rely on the electronic signatures, and hereby waives any defenses to the enforcement of the terms of this Agreement based on the use of an electronic signature. After all Parties agree to the use of electronic signatures, all Parties must sign the document electronically.
