Agreement No. RENEWED SOFTWARE MAINTENANCE AGREEMENT BY AND BETWEEN CITY OF REDWOOD CITY AND ASSETWORKS LLC FOR AND IN CONSIDERATION of the mutual benefits accruing and expected to accrue hereunder, this R ewed Software Maintenance Agreement ("Agreement'), is made as of the mW day of 2020 ("Effective Date') by and between AssetWorks, a Delaware limited liability company, with offiLds at 998 Old Eagle School Road, Suite 1215, Wayne, PA 19087 ("AssetWorks"), and City of Redwood City, a charter city and municipal corporation of the State of California, with offices in Redwood City, CA ("CUSTOMER"). Intending to be legally bound, the parties hereby mutually agree to the following terms and conditions: A. BACKGROUND 1. AssetWorks and CUSTOMER are parties to a Restated Software License Agreement pursuant to which CUSTOMER and AssetWorks have restated the license of CUSTOMER of certain software products ("Software") from AssetWorks. 2. AssetWorks and CUSTOMER are parties to a Software Maintenance Agreement dated June 6, 2019, setting forth the terms and conditions of Maintenance from AssetWorks. 3. AssetWorks and CUSTOMER have agreed to renew the Software Maintenance Agreement for a period of twelve (12) months, effective January 1, 2020 through December 31, 2020. B. TERMS AND CONDITIONS 1. Term Effective on January 1, 2020, the Software Maintenance Agreement is hereby renewed for a term of twelve (12) months. The term may be renewed for an additional twelve (12) month period. All renewals shall require a new agreement to be signed by both parties. 2. All Other Provisions Remain in Force All other provisions of the Software Maintenance Agreement dated June 6, 2019, remain in full force and effect.
