NOW, THEREFORE, IT IS AGREED AS FOLLOWS: 1. The City grants the necessary permission to the County to do work within the City limits as herein described. 2. The County will include in its contract, for the above-described project, contract items for the slurry sealing and re -striping at portions of Douglas Avenue in the North Fair Oaks Area and the cape sealing and installation of traffic buttons at portions of Wilmington Way in the Emerald Lake Hills Area within the limits of the City. The work shall be completed by the County's Contractor. 3. The County will award the contract to the lowest responsible bidder for the completion of this Project. 4. The County agrees to notify the City of the successful bidder to whom the construction contract is to be awarded. 5. The City agrees to reimburse the County, on demand, for the actual construction contract costs (including contract Change Order costs) incurred by the County for work on the City's facilities, and ten percent (10%) for overhead expenses, including preparation of plans and specifications, project administration, construction management and any other incidental and overhead expenses, incurred by the County for work on said City facilities. 6. The estimated maximum fiscal obligation for work on said City facilities is Sixteen -Thousand Eight -Hundred and Fifty -Four Dollars and Thirty -Five Cents ($16,854.35), unless authorized by the City in writing. Any Contract Change Orders on the City's portion of the construction work will be subject to written approval by the City. It is understood that the total sum to be reimbursed to the County is to be determined from actual bid prices received and the actual quantities completed during construction. 7. The County shall furnish primary construction inspection services for all phases of the Project work. The County Director of Public Works or his appointed representative ("County representative") shall be solely responsible for all phases of construction and inspection functions and liaison with the Project Contractor. In this regard, all communications and directions between the City and the County's Contractor shall be directed through the County representative. City representatives shall have access to the work on the City's facilities at all times, and without restriction, for the purposes of inspection of such facilities. County and City representatives shall cooperate and confer to facilitate the performance of inspection duties incident to expeditious completion and acceptance of work performed by County's Contractor on Page 2 of 7 REV: 05-13-19 PR ATTY/AGR.2019.123/San Mateo County
