NOW, THEREFORE, IT IS AGREED AS FOLLOWS: <br />1. The City grants the necessary permission to the County to do work within <br />the City limits as herein described. <br />2. The County will include in its contract, for the above-described project, <br />contract items for the slurry sealing and re -striping at portions of Douglas Avenue in the <br />North Fair Oaks Area and the cape sealing and installation of traffic buttons at portions <br />of Wilmington Way in the Emerald Lake Hills Area within the limits of the City. The work <br />shall be completed by the County's Contractor. <br />3. The County will award the contract to the lowest responsible bidder for the <br />completion of this Project. <br />4. The County agrees to notify the City of the successful bidder to whom the <br />construction contract is to be awarded. <br />5. The City agrees to reimburse the County, on demand, for the actual <br />construction contract costs (including contract Change Order costs) incurred by the <br />County for work on the City's facilities, and ten percent (10%) for overhead expenses, <br />including preparation of plans and specifications, project administration, construction <br />management and any other incidental and overhead expenses, incurred by the County <br />for work on said City facilities. <br />6. The estimated maximum fiscal obligation for work on said City facilities is <br />Sixteen -Thousand Eight -Hundred and Fifty -Four Dollars and Thirty -Five Cents <br />($16,854.35), unless authorized by the City in writing. Any Contract Change Orders on <br />the City's portion of the construction work will be subject to written approval by the City. <br />It is understood that the total sum to be reimbursed to the County is to be determined <br />from actual bid prices received and the actual quantities completed during construction. <br />7. The County shall furnish primary construction inspection services for all <br />phases of the Project work. The County Director of Public Works or his appointed <br />representative ("County representative") shall be solely responsible for all phases of <br />construction and inspection functions and liaison with the Project Contractor. In this <br />regard, all communications and directions between the City and the County's Contractor <br />shall be directed through the County representative. City representatives shall have <br />access to the work on the City's facilities at all times, and without restriction, for the <br />purposes of inspection of such facilities. County and City representatives shall <br />cooperate and confer to facilitate the performance of inspection duties incident to <br />expeditious completion and acceptance of work performed by County's Contractor on <br />Page 2 of 7 <br />REV: 05-13-19 PR <br />ATTY/AGR.2019.123/San Mateo County <br />
