REV: 07-15-2021 RL <br />AMENDMENT NO. 2 <br />TO AGREEMENT FOR SERVICES <br />DOWNTOWN STREETS, INC <br />This Amendment No. 2 (the “Amendment No. 2”) is entered into and effective as <br />of____________, 2021, by and between the City of Redwood City, a charter city and <br />municipal corporation of the State of California (“City”), and Downtown Streets, Inc., a <br />California public benefit non-profit corporation (“Contractor”) (collectively, the “Parties”). <br />RECITALS <br />A. The Parties previously executed that certain General Services Agreement <br />with Downtown Streets Team, Inc., dated as of August 1, 2019, (the “Original <br />Agreement”). <br />B. The Parties previously executed Amendment No. 1 to the Original <br />Agreement (“Amendment No.1”), dated as of October 29, 2019 (the Original Agreement <br />and Amendment No.1 are collectively referred to as the “Agreement”). <br />C. The Parties have negotiated and agreed to the terms and conditions set <br />forth in this Amendment No. 2. <br />NOW, THEREFORE, in consideration of these recitals and the mutual covenants <br />contained herein, the Parties agree as follows: <br />1. Section 1 “Scope of Work” of the Agreement is deleted in its entirety and replaced <br />with the following: <br />1. Scope of Work. Subject to the terms and conditions of this Agreement, <br />Contractor shall provide those services described in Exhibit “A” and <br />incorporated herein by reference. In summary, the scope of services includes <br />but is not limited to creating volunteer work experience opportunities for people <br />experiencing homelessness in Redwood City (hereinafter “Team Members”). <br />Team Members volunteer work experience will include, but is not limited to, <br />picking up litter, emptying trash receptacles in and around the Redwood City <br />Downtown area, or other mutually agreed upon areas of Redwood City as <br />needed, and reporting cases of vandalism and graffiti. Contractor may also <br />utilize Streets Team Enterprises, the contractor’s employment social <br />enterprise, as a second tier on the ladder for Team Members to step up into <br />employment utilizing their knowledge, skills, and life experience to support the <br />work to be provided for the City. Contractor shall also, through the use of their <br />employees, encourage other homeless individuals to explore other options, <br />and to explain all of the services that are available to homeless individuals. <br />2.
